紫光股份(000938.SZ)：將受讓紫光網芯基金2億元認繳出資額
格隆匯 10 月 27日丨紫光股份(000938.SZ)公佈，公司第七屆董事會第四十七次會議審議通過了關於受讓產業基金份額暨關聯交易的議案。
為進一步構建公司“雲—網—邊—端—芯”產業鏈，加強產業鏈上下游協同，延伸公司能源行業數字化解決方案服務能力，並依託產業基金的資源和管理優勢，公司將受讓西藏紫光科技開發有限公司(“西藏紫光科技”)對紫光網芯(東莞市)股權投資合夥企業(有限合夥)(“紫光網芯基金”、“產業基金”、“合夥企業”)人民幣2億元認繳出資額，佔紫光網芯基金認繳出資總額人民幣7.8億元的25.64%。鑑於轉讓方西藏紫光科技上述認繳的出資份額尚未實繳，此次轉讓價格為0元，此次轉讓完成後公司將以自有資金出資人民幣2億元實繳上述基金份額。
此次基金份額受讓完成後，公司將作為有限合夥人，擬與紫光網芯基金普通合夥人西藏紫光投資基金有限責任公司(“西藏紫光投資基金公司”)及有限合夥人西藏紫光科技、幸福人壽保險股份有限公司、誠泰財產保險股份有限公司、北京健坤投資集團有限公司、中青芯鑫(蘇州工業園區)資產管理有限責任公司等共14家機構共同持有紫光網芯基金。
紫光網芯基金總規模為人民幣7.8億元，目前已完成中國證券投資基金業協會私募股權投資基金備案，基金管理人為西藏紫光投資基金公司。紫光網芯基金將以股權投資的形式專項投資於北京智芯微電子科技有限公司。
鑑於西藏紫光投資基金公司、西藏紫光科技與公司同為紫光集團有限公司(“紫光集團”)間接控股子公司，公司董事王慧軒為幸福人壽保險股份有限公司董事長、誠泰財產保險股份有限公司董事長及中青芯鑫(蘇州工業園區)資產管理有限責任公司董事，北京健坤投資集團有限公司控股股東為紫光集團董事長趙偉國，西藏紫光投資基金公司、西藏紫光科技、幸福人壽保險股份有限公司、誠泰財產保險股份有限公司、北京健坤投資集團有限公司、中青芯鑫(蘇州工業園區)資產管理有限責任公司為公司關聯方，此次交易構成關聯交易。
此次關聯交易事項已經公司第七屆董事會第四十七次會議審議通過，王竑弢、王慧軒和李天池作為關聯董事迴避表決，公司獨立董事對該議案發表了事前認可意見和獨立意見。
