豫金剛石(300064.SZ)：收到深交所關注函 可能將被實施其他風險警示
格隆匯 10 月 27日丨豫金剛石(300064.SZ)公佈，公司於2020年10月27日收到深圳證券交易所創業板公司管理部發來的《關於對鄭州華晶金剛石股份有限公司的關注函》(創業板關注函〔2020〕第482號)，現將具體內容公告如下：
你公司公告及法院判決書顯示，截至2020年10月14日，公司作為擔保人、差額補足方涉及的訴訟案件中，8單案件已經法院生效判決公司承擔連帶保證責任，涉及金額合計約7.77億元，佔公司2019年經審計淨資產的44.76%，但公司對相關擔保未履行審議程序。另有2單借款、擔保案件中，案件借款資金實際流向公司控股股東河南華晶超硬材料股份有限公司及實際控制人郭留希，法院已劃扣公司土地補償款合計4400萬元。
我部先後於9月1日、9月14日向你公司發出函件(創業板半年報問詢函〔2020〕第13 號、創業板關注函〔2020〕第435 號)，要求公司核實説明是否觸及其他風險警示情形，是否有可行的解決方案及預計解決期限。截至10月26日，你公司均未回覆相關問題。我部對此表示高度關注，請你公司在2020年11月2日前説明對上述事項是否有可行的解決方案且可在一個月內解決，並披露董事會意見。若你公司在11月27日前仍未回覆本所問詢或上述情形仍未消除的，我部將依據《創業板股票上市規則(2020年修訂)》第9.1條、第9.4條、第9.5條的規定，對你公司股票實施其他風險警示及相關停復牌處理。
同時，請你公司董事會全體成員按照《創業板股票上市規則(2020年修訂)》第4.2.2條和《創業板上市公司規範運作指引(2020年修訂)》第3.1.7條的規定履行勤勉盡責義務，督促公司及時回覆本所問詢及履行信息披露義務。若你公司仍未按期如實回覆，我部將依據《創業板股票上市規則(2020年修訂)》第12.3條、第12.4條、第12.6條的規定對公司及董事會成員實施監管措施或紀律處分。
我部鄭重提醒你公司：上市公司必須按照國家法律、法規和本所《創業板股票上市規則》，認真和及時地履行信息披露義務，在規定期限內如實回覆本所問詢。上市公司的董事會全體成員必須勤勉盡責，督促公司及時回覆本所問詢及履行信息披露義務，保證信息披露內容真實、準確、完整，沒有虛假記載、誤導性陳述或重大遺漏，並就其保證承擔個別和連帶的責任。
