港華燃氣(01083.HK)擬出資47億元增資上海燃氣 持股25%
格隆匯10月27日丨港華燃氣(01083.HK)、香港中華煤氣(00003.HK)聯合公告，於2020年10月27日，港華燃氣已訂立：與申能集團及目標公司訂立增資協議，據此，港華燃氣同意以出資人民幣47億元的方式增加目標公司上海燃氣有限公司的註冊資本及資本公積。於交割後，港華燃氣及申能集團將分別持有目標公司的25%及75%股權。
同日，港華燃氣與目標公司訂立深化合作協議，據此，港華燃氣及目標公司同意共同努力促進港華燃氣自增資協議生效日期起計1年內向目標公司發行普通股，以使擬議南向認購事項完成後，目標公司將擁有港華燃氣經擬議南向認購事項擴大後已發行股本的25%。
目標集團的主要業務包括管道燃氣的營運，管道燃氣基礎設施的建設、營運和管理，液化天然氣接收站及儲存，有關燃氣的施工材料、用具和設施的銷售，有關燃氣的質量控制服務以及有關燃氣的技術開發、諮詢、服務和轉讓。目標集團員工約4,300人，擁有燃氣管網約2.5萬公里，燃氣用户數約630萬户。目標公司截至2019年12月31日止11個月的售氣量為83.7億立方米。
申能集團主要從事電力和燃氣的生產和供應，燃氣基礎設施（包括液化天然氣接收站及儲存）的投資、建設和管理，以及金融機構之投資。其附屬公司包括申能股份有限公司，其股份於上海證券交易所上市，股份代碼為600642。
港華燃氣表示，目標集團在上海擁有龐大的客户基礎，而中華煤氣集團及港華燃氣集團可因此開發延伸業務的龐大市場及發展潛力。目標集團亦擁有一座液化天然氣接收站，而中華煤氣集團亦在江蘇省金壇擁有地下鹽穴儲氣庫，目標集團及中華煤氣集團在華東地區的城市燃氣企業可因而受惠於這些接收站及儲存資源及區域燃氣管道連接，並帶來穩定及低成本的天然氣供應。中華煤氣董事會及港華燃氣董事會認為目標集團及中華煤氣集團可以在工程、採購、客户服務和其他延伸增值業務領域加深合作，並分享管理知識、人才和營運專業知識的最佳實踐。港華燃氣和目標集團亦會利用雙方的技術人才加強在上海發展智慧能源業務。
鑑於目標集團的現有項目及業務，中華煤氣董事會及港華燃氣董事會認為，增資可擴大港華燃氣集團的客户基礎，在目標集團當前營運的項目與港華燃氣集團的項目之間產生區域協同效應，可潛在提升港華燃氣集團的未來盈利及增加港華燃氣集團於相關市場的市場份額。此外，增資亦與長江三角洲的國家發展戰略相符。
