澳洋順昌(002245.SZ)：金屬物流業務子公司股權架構調整
格隆匯 10 月 26日丨澳洋順昌(002245.SZ)公佈，公司第五屆董事會第十二次會議審議通過了《關於金屬物流業務子公司股權架構調整相關事項的議案》，同意對金屬物流業務子公司股權架構進行調整，澳洋順昌將持有的上海澳洋順昌金屬材料有限公司(“上海順昌”)100%股權按2020年9月30日賬面淨資產85,675,289.66元轉讓給控股子公司江蘇澳洋順昌科技材料有限公司(“順昌科技”)；澳洋順昌將持有的廣東澳洋順昌金屬材料有限公司(“廣東順昌”)75%股權根據2020年9月30日合併賬面淨資產按持股75%比例以57,570,043.73元轉讓給順昌科技；凱盛物流有限公司(“凱盛物流”)將持有的廣東順昌25%股權及張家港潤盛科技材料有限公司(“張家港潤盛”)25%股權根據2020年9月30日合併賬面淨資產按持股比例以股權增資的方式增資順昌科技，增加順昌科技註冊資本6386萬元；澳洋順昌將持有的張家港潤盛75%股權根據2020年9月30日合併賬面淨資產按持股比例以股權增資的方式增資順昌科技，增加順昌科技註冊資本14,436萬元。在上述調整完成後，將張家港潤盛持有的廣東潤盛科技材料有限公司(“廣東潤盛”)100%股權按2020年9月30日賬面淨資產86,846,197.64元轉讓給順昌科技。同時，授權公司管理層辦理上述調整所需的協議簽署及其他相關事項。
上述調整完成後，公司金屬物流業務將全部歸集在控股子公司順昌科技合併報表範圍內。除順昌科技外，公司將不再直接持有其他主要金屬物流業務子公司股權，而是通過控股子公司順昌科技總體經營金屬物流業務。本次股權架構調整涉及公司均為公司合併報表範圍內公司，尚未簽署相關轉讓及增資協議。上述股權架構調整不涉及合併報表範圍的變化。
此次子公司股權調整整合，主要為理順公司金屬業務管理關係，達成以順昌科技作為金屬物流業務運作平台的目的，實現公司各業務的板塊化管理。此次調整整合，有利於強化上市公司母公司在戰略投資、資本運作、子公司管控等方面的管理職能，明晰公司各業務板塊的工作權責，提高運營效率，優化組織架構和適應未來業務發展需要，不會對公司財務及經營狀況產生不利影響，不存在損害公司及全體股東利益的情況。
