山東路橋(000498.SZ)：收購中鐵隆工程集團股權並對其增資的協議已生效
格隆匯 10 月 25日丨山東路橋(000498.SZ)公佈，2020年6月2日，公司披露了《關於子公司收購中鐵隆工程集團有限公司股權並對其增資的公告》：為進一步拓展經營領域，做大做強施工主業，實現市場多元化和高質量發展，公司全資子公司山東高速路橋投資管理有限公司(“路橋投資公司”)擬通過收購存量股權並對其增資的方式收購中鐵隆工程集團有限公司(“中鐵隆公司”、“目標公司”)控股權。轉讓方成都凱祺瑞企業管理有限公司(“凱祺瑞公司”)為新加坡上市公司盛世企業有限公司間接持股的下屬子公司，現持有中鐵隆公司99.6%股權。此次交易總金額為355,654,172元，交易完成後，路橋投資公司持有中鐵隆公司49.82%股權。
為實施本次交易，路橋投資公司作為受讓方與轉讓方及中鐵隆公司簽署了附條件生效的《成都凱祺瑞企業管理有限公司與山東高速路橋投資管理有限公司關於中鐵隆工程集團有限公司之股權轉讓及增資協議》。為進一步加強中鐵隆公司控制權，路橋投資公司與中鐵隆公司另一股東張偉瑄簽署了《張偉瑄先生與山東高速路橋投資管理有限公司關於中鐵隆工程集團有限公司表決權委託協議》。交易完成後，中鐵隆公司將納入公司合併報表範圍。
2020年10月24日，中鐵隆公司海外母公司盛世企業有限公司召開臨時股東大會，審議通過了批准本次交易的相關議案。
截至目前，《股權轉讓及增資協議》已生效。中鐵隆公司原股東已書面同意放棄優先購買中鐵隆公司股權及對其增資的權利；中鐵隆公司股權質押權利人已書面同意此次交易，並承諾配合辦理相關手續；轉讓方、受讓方及目標公司已履行完成此次交易所需的內部審批程序，包括但不限於新加坡證券交易所要求的審批程序、盛世企業有限公司股東大會批准等。此次交易已通過國家市場監督管理總局關於經營者集中反壟斷審查的審核同意。
中鐵隆公司現具有市政公用工程施工總承包壹級、鐵路工程施工總承包貳級，工程設計市政行業(軌道交通工程)專業甲級，鐵道和城市軌道交通工程自動化控制系統專業甲級設備監理等行業資質，核心業務包括城市軌道交通基礎設施及水環境治理等，曾榮獲中國土木工程詹天佑獎、長城杯金獎、天府杯金獎等多項榮譽。
此次交易符合公司發展戰略，有利於拓展公司在城市軌道交通基礎設施、水環境治理等方面的市場，形成新的利潤增長點；能夠通過區位聯合優勢和股權多元化運營，提升公司盈利能力。
