粵港灣控股(01396.HK)擬2.2億元收購東莞土地若干權益
格隆匯10月23日丨粵港灣控股(01396.HK)發佈公告,於2020年10月23日,公司透過其間接全資附屬公司已訂立買賣協議,大湖買方(公司間接全資附屬公司)與大湖賣方訂立大湖房地產開發買賣協議,據此大湖買方同意收購大湖房地產開發銷售權益(佔大湖房地產開發的51%股權),代價為人民幣7054萬元。大湖房地產開發持有大湖目標土地。
華海買方(公司間接全資附屬公司)與華海賣方訂立華海實業買賣協議,據此華海買方同意收購華海實業銷售權益(佔華海實業的51%股權),代價為人民幣1.53億元。華海實業持有華海目標土地。收購事項完成後,大湖房地產開發及華海實業將成為公司的附屬公司,其財務業績將併入集團的綜合財務報表。
目標公司持有的目標土地屬於東莞市三舊改造計劃的一部分,其原土地性質為工業用地,根據東莞市自然資源局出具的《東莞市建設用地規劃條件》,大湖目標土地的土地性質已變更為居住用地,土地面積約為19,000平方米,總建築面積約為64,000平方米。華海目標土地的土地性質已變更為住宅和商業用途,土地面積約為15,300平方米,總建築面積約為62,000平方米。目標土地更新改造方案已獲東莞市自然資源局批准,且目標公司已被確定為該等更新改造項目的實施主體。
近期,公司已升級其業務策略,涉及發展大灣區的城市更新項目。目標土地位於東莞市,為大灣區的一部分,而重新發展目標土地將成為集團立足大灣區的另一個里程碑。董事會認為,收購事項可提升集團的現有業務,開發優質及具吸引力的城市更新項目,併為集團快速帶來銷售收入及現金流。
