ST天龍(300029.SZ)：將對廣東博森享有的6000萬元債權及衍生收益一併轉讓予大有控股
格隆匯 10 月 23日丨ST天龍(300029.SZ)公佈，公司第四屆董事會第二十五次會議審議通過《關於轉讓對廣東博森光能科技有限公司6000萬元債權的關聯交易議案》。
2014年8月12日，公司與廣東博森光能科技有限公司(以下簡稱“廣東博森”)簽訂《設備採購及供應協議》，約定公司向廣東博森供應50台DRZF800高效多晶硅鑄錠爐，總貨款9500萬元。協議簽訂後，公司如約交付全部設備，廣東博森累計支付貨款3500萬元，剩餘貨款6000萬元未能支付。
2018年6月25日，公司向江蘇省常州市中級人民法院(以下簡稱“常州中院”)提出訴訟，要求廣東博森支付剩餘6,000萬元貨款。常州中院於2018年10月23日出具《判決書》((2018)蘇04民初257號)，判令被告廣東博森於判決生效後十日內向原告天龍光電支付貨款6,000萬元。
2018年6月25日，公司向常州中院申請財產保全，請求查封凍結廣東博森的銀行存款及其他財產。2018年7月4日，常州中院出具《民事裁定書》((2018)蘇04民初257號)，裁定凍結被申請人廣東博森的銀行存款及其他財產。2018年8月15日，常州中院依據該裁定書查封了廣東博森在廣東省梅州市梅縣區企業內的機器設備高效多晶硅鑄錠爐成套設備32台，該公司無其他財產可供執行。截至2020年10月16日，廣東博森尚未支付剩餘貨款，且廣東博森已被多家法院列為失信被執行人。
為儘快消除保留意見事項對公司造成的負面影響，回收現金流，進一步完善公司內控，為公司後續相關工作的開展奠定基礎，公司與大有控股有限公司簽訂了《債權轉讓協議》，將公司對廣東博森享有的6000萬元債權及由於該筆債權所產生的利息等衍生收益一併轉讓給大有控股有限公司，轉讓價格按照公司於2020年8月3日通過公開招投標獲得的同型號高效多晶硅鑄錠爐設備的市場價格，確定為215.68萬元，價格公允。公司已履行通知債務人的義務，並已收到債權轉讓價款。
