華聯控股(000036.SZ)：恆裕集團及恆裕資本告知其已間接持有金研海藍共63.5714%的股權
格隆匯 10 月 22日丨華聯控股(000036.SZ)公佈，近日，公司收到深圳市恆裕實業(集團)有限公司(“恆裕集團”)及深圳市恆裕資本管理有限公司(“恆裕資本”，以下與恆裕集團合稱“收購方”)聯名發來的《關於恆裕集團間接收購杭州金研海藍企業管理有限公司部分股權的告知函》，收購方告知其已間接持有金研海藍共計63.5714%的股權。
恆裕集團和恆裕資本作為受讓方就直接或間接受讓金研海藍部分股權與金研海藍部分股東、金研海藍部分股東的上層股東分別簽署了以下協議：
1.收購方與杭州金研學而投資合夥企業(有限合夥)、杭州金研和山股權投資管理有限公司簽署《關於杭州金研玖昊投資合夥企業(有限合夥)100%出資額轉讓合同》，擬受讓杭州金研玖昊投資合夥企業(有限合夥)100%出資額【其中恆裕集團受讓99.995%、恆裕資本受讓0.005%】。
2.收購方與台州和泰房地產開發有限公司、杭州澤誠置業發展有限公司和杭州金研和山股權投資管理有限公司簽署《關於杭州富陽金寶和山股權投資合夥企業(有限合夥)100%出資額轉讓合同》，擬受讓杭州富陽金寶和山股權投資合夥企業(有限合夥)100%出資額【其中恆裕集團受讓98.6842%、恆裕資本受讓1.3158%】。
3.收購方與劉健、張擁軍、葉慶均、敦和控股有限公司、敦和產業投資管理有限公司簽署《關於寧波孚嘉管理諮詢有限公司100%股權轉讓合同》，擬受讓寧波孚嘉管理諮詢有限公司100%股權（其中恆裕集團受讓85.7143%、恆裕資本受讓14.2857%）。
4.恆裕集團與浙江錢塘江金研資產管理有限公司簽署附生效條件的《關於杭州金研海藍企業管理有限公司0.7143%股權轉讓合同》，約定雙方在具備一定條件後(包括金研海藍其他相關股東同意放棄優先購買權)再辦理股權轉讓和交割手續。在此之前，浙江錢塘江金研資產管理有限公司作為金研海藍原股東的地位和權利義務不變。
截至告知函出具之日，收購方受讓杭州金研玖昊投資合夥企業(有限合夥)100%出資額、受讓杭州富陽金寶和山股權投資合夥企業(有限合夥)100%出資額、受讓寧波孚嘉管理諮詢有限公司100%股權的工商變更登記手續均已辦理，因杭州金研玖昊投資合夥企業(有限合夥)、杭州富陽金寶和山股權投資合夥企業(有限合夥)和寧波孚嘉管理諮詢有限公司分別持有金研海藍35.7143%、15.3571%、12.5%的股權，收購方間接持有金研海藍共計63.5714%的股權。
