山鷹紙業(600567.SH)：北歐紙業境外首次上市 股權出售價14.67億瑞典克朗
格隆匯10月22日丨山鷹紙業(600567.SH)公佈，公司控股子公司北歐紙業於2020年10月22日(瑞典時間)在瑞典斯德哥爾摩Nasdaq OMX交易所掛牌上市，股票代碼為“NPAPER”。公司通過在瑞典設立的公司SUTRIV Holding AB(以下簡稱“SUTRIV”)間接持有北歐紙業100%股權。
本次分拆上市不涉及發行新股，股份來源為現有股東SUTRIV售出股份。SUTRIV公開發售34,123,488股(行使超額配售權前)，佔北歐紙業總股本的51%，出售價款為14.67億瑞典克朗(未扣除發行費等)。ABG Sundal Collier AB作為穩定價格操作人可能通過行使超額配售權而發行的股份不超過超額配售權行使前發售規模的15%。
本次分拆上市後，公司仍通過SUTRIV間接持有北歐紙業32,785,312股，佔北歐紙業總股本的49%，行使超額配售權後，公司通過SUTRIV間接持有北歐紙業2766.68萬股，佔北歐紙業總股本的41.35%。上述股份自北歐紙業上市之日起180天內不得轉讓。
ABG Sundal Collier AB作為穩定價格操作人可能通過行使超額配售權而發行的股份最多511.85萬股，對應價款約2.20億瑞典克朗，不超過超額配售權行使前發售規模的15%，實施計劃期為自北歐紙業上市之日起30天內。
若本次上市的超額配售權全部實施，公司將合計賣出間接持有北歐紙業的58.65%股權，賣出後將間接持有北歐紙業41.35%的股權。
本次股權出售價款為14.67億瑞典克朗，剩餘股權按發行價計算價值為14.10億瑞典克朗。按北歐紙業最近一期的淨資產測算，本次出售的股權增值約10億元人民幣，將增加公司淨資產，對當期損益沒有影響。
公司通過本次分拆上市合計回收約24.17億瑞典克朗資金，含出售價款14.67億及分紅9.50億。自公司於2017年10月以24億瑞典克朗收購北歐紙業以來，北歐紙業業務穩健增長，累計貢獻淨利潤10.04億瑞典克朗(截至2020年6月30日)，公司已累計收回現金26.67億瑞典克朗(超額配售權行使前)。本次上市收回的資金將進一步加強公司的資金實力。
