聯想集團(00992.HK)建議發行美元計價票據 並要約收購10億美元優先股12.5億美元票據
格隆匯10月22日丨聯想集團(00992.HK)宣佈，公司建議僅向專業及機構投資者進行新票據的國際發行。新票據將構成公司以美元計值的直接、無條件、無擔保及非次級債務。發行票據的完成取決於若干因素，包括但不限於全球市況、公司的企業需求及投資者的興趣。建議發行票據的規模及定價將於入標過程之後釐定。
花旗、摩根士丹利、瑞信、摩根大通、法國巴黎銀行和高盛(亞洲)責任有限公司(作為聯席全球協調人)以及星展銀行有限公司、東方匯理銀行、瑞穗證券、三菱日聯證券及法興企業和投資銀行(作為聯席賬簿管理人)將就票據的發行進行詢價過程。
公司擬將建議發行票據的所得款項淨額用於根據收購要約備忘錄載列的條款，以現金購買全部或部分證券，或用作公司營運資金。公司擬向聯交所申請批准新票據上市及買賣。
另外，就購買優先股、2022年票據及2023年票據的同步收購要約，優先股於2017年3月16日及2017年4月6日發行，目前在新加坡交易所證券交易有限公司上市。優先股的ISIN為XS1575529539。目前，優先股尚未償還的本金金額為10億美元。
2022年票據及2023年票據分別於2017年及2018年發行，目前在聯交所上市。2022年票據及2023年票據的ISIN分別為XS1573181440及XS1765886244。目前，2022年票據及2023年票據的未償還本金金額分別為5億美元及7.5億美元。
於2020年10月22日，公司及LPSL已開始作出收購要約，以現金購買未償還的證券，惟須受限於收購上限。公司及LPSL正在提呈接納於收購上限內的以供購買證券以供購買。若收購要約內有效提交的證券本金總額超過收購上限，提交指示將根據以下接納次序獲接納：
1.首先，就任何優先股有效收到的提交指示；
2.其次，就任何2022年票據有效收到的提交指示；及
3.最後，就任何2023年票據有效收到的提交指示。
