先導智能(300450.SZ)：授權董事長兼總經理王燕清審議批准設立分公司和辦事處
格隆匯 10 月 21日丨先導智能(300450.SZ)公佈，公司於2020年10月21日召開第三屆董事會第二十九次會議，審議通過了《關於授權公司董事長兼總經理王燕清先生審議批准設立分公司和辦事處的議案》，現將相關內容公告如下：
根據海外絕大多數國家或地區的法律規定，設立分公司和辦事處需要提交董事會或總經理審議批准的決議，該等決議必須經過兩地使領館的雙重認證，程序宂長，效率較低。為提高公司決策效率，簡化分公司和辦事處設立的程序，根據《公司章程》及有關規定，公司董事會在其權限範圍之內將特定分公司和辦事處的設立審批權授予公司董事長兼總經理王燕清，具體授權權限如下：
分公司和辦事處：本授權所指分公司和辦事處為非獨立核算的非法人機構，不涉及任何註冊資本金的投入，不得有購銷行為，也不必報税和交税。不符合前述定義的分公司和辦事處的設立必須提交董事會審議。
公司董事會授權董事長兼總經理王燕清先生有權審議批准以下事項：
(1)設立及註銷分公司、辦事處(含中國大陸境內外)；
(2)決定及變更分公司、辦事處的名稱；
(3)決定及變更分公司、辦事處的負責人、法定代表人、股東代表等分公司、辦事處所在地法律規定辦事處存續所必須配置的責任或授權代表人員；
(4)決定及變更分公司、辦事處的註冊地址；
(5)決定及變更具體辦理分公司、辦事處登記備案的工作人員，含授權工作人員向分公司、辦事處所在國政府主管部門提交、接收、簽署、修改分公司、辦事處設立的相關文件，履行登記分公司、辦事處的各種手續。
(6)決定及變更分公司、辦事處的章程、制度等分公司、辦事處所在國政府主管部門規定的分公司、辦事處存續所必須制定的規則或條例。
(7)管理分公司、辦事處(含中國大陸境內外，下同)的銀行賬户，包括同意分公司、辦事處在各境內外銀行開立或續開賬户，簽署與所述賬户以及賬户網上銀行的開立、關閉相關的所有文件；執行或授權相關人士執行分公司、辦事處的銀行賬户操作，包括但不限於付款、存款、收款、簽發或兑付票據、貨幣兑換、查詢、委託網上銀行的操作員和管理員等，並針對上述操作簽署相關文件；變更賬户日常運作授權簽字人，並可將其所有或部分授權轉授他人。
(8)對分公司和辦事處設立、運營過程中的未決事項進行處理和授權。
上述審批授權權限自董事會審議通過之日起計算，至公司第三屆董事會屆滿止。
