南京公用(000421.SZ)董事會通過關於2017G06項目財務資助展期及債權轉讓的議案
格隆匯 10 月 21日丨南京公用(000421.SZ)公佈，2020年10月20日，公司第十屆董事會第二十七次會議審議通過了《關於2017G06項目財務資助展期及債權轉讓的議案》，同意公司控股子公司南京旭晟輝企業管理諮詢有限公司(“旭晟輝”)將其向參股公司南京頤成房地產開發有限公司(“南京頤成”)提供的財務資助予以展期，同時旭晟輝將其擁有的對南京頤成的債權按持股比例轉讓給公司及南京朗銘地產集團有限公司(“南京朗銘”)，用於抵償旭晟輝對公司及南京朗銘所負的債務。該議案尚需提交公司股東大會審議。
財務資助展期情況概述：
2017年11月13日，公司第九屆董事會第二十四次會議審議通過了《關於全資子公司南京中北盛業房地產開發有限公司增資南京旭晟輝企業管理諮詢有限公司、簽署< 關於南京市溧水區NO.2017G06地塊項目之合作協議>並提供財務資助的議案》。依照約定，2017年12月1日，旭晟輝與南京頤成共同簽署了《借款合同》，約定旭晟輝通過股東借款方式按持股比例向南京頤成提供不超過7.5億元人民幣的借款，借款期限自借款劃入指定銀行賬户之日起至屆滿36個月之日止，借款利率為8%/年。
截至目前，旭晟輝提供的借款中，南京頤成尚未歸還的借款餘額為人民幣668,190,567.13元。鑑於旭晟輝向南京頤成提供的上述借款期限即將屆滿，考慮到南京頤成的房地產開發進度，旭晟輝與南京頤成擬簽署《借款展期協議》，雙方同意對《借款合同》項下的借款自到期後予以展期18個月，《借款合同》項下的尚未歸還的借款本金不計利息。
債權轉讓情況概述：
2017年11月29日，公司、公司全資子公司南京中北盛業房地產開發有限公司(“中北盛業”)與旭晟輝共同簽署了《借款合同》，約定公司向旭晟輝提供不超過4.5億元人民幣的借款；南京朗銘與旭晟輝簽署了《借款合同》，約定南京朗銘向旭晟輝提供不超過37173萬元人民幣的借款。上述借款期限自借款劃入旭晟輝專門用於接收借款的指定銀行賬户之日起至屆滿36個月之日止，借款利率為8%/年。
鑑於旭晟輝對南京頤成擁有因提供股東借款形成的債權668,190,567.13元，經各方經協商一致，擬同意旭晟輝在上述財務資助展期事宜完成後，可啟動債權轉讓工作，經履行相關國資審批備案程序後，按規定將其擁有的對南京頤成的債權按持股比例分別轉讓給公司和南京朗銘，用於抵償其對公司和南京朗銘所負相應債務。具體為，將旭晟輝對南京頤成所享有部分債權400,914,340.28元一次性轉讓給公司，將旭晟輝對南京頤成所享有部分債權267,276,226.85元一次性轉讓給南京朗銘。
