山東路橋(000498.SZ)：子公司路橋集團及魯橋建設擬合計9.42億元認購京台合夥份額
格隆匯 10 月 20日丨山東路橋(000498.SZ)公佈，2019年6月，公司子公司山東省路橋集團有限公司(“路橋集團”)、山東魯橋建設有限公司(“魯橋建設”)通過公開招投標，分別被確定為京台高速公路泰安至棗莊(魯蘇界)段改擴建工程項目主體工程(“京台項目”)施工第四標段中標人(中標價：23.65億元)、京台項目施工第五標段中標人(中標價：39.16億元)，並分別與發包人山東高速集團有限公司京台公路泰安至棗莊改擴建項目建設管理辦公室簽署了《第四標段施工合同協議書》《第五標段施工合同協議書》。
項目中標後，經公司推介，濟南睿信富盈投資合夥企業(有限合夥)(“睿信合夥”)與濟南魯橋智通投資合夥企業(有限合夥)(“魯橋合夥”)經各自內部決策程序審議通過後，分別向業主指定的投資標的山東高速京台投資合夥企業(有限合夥)(“京台合夥”)出資約3.55億元與約5.87億元。
根據招標文件及承諾內容，路橋集團及魯橋建設目前擬以認購關聯方京台合夥部分有限合夥份額的方式自行履行剩餘50%的出資義務。其中，路橋集團認購金額為約3.55億元，魯橋建設認購金額為約5.87億元。京台合夥存續期為2019年6月至2026年6月，前4年為投資期，後3年為投資回收期，自京台合夥首次實繳出資起滿4年時，分4期(滿4年時為第1期)等額回收投資本金。有限合夥人投資收益按照五年期中國人民銀行基準貸款利率(目前4.75%/年，每年動態調整)計算，基金管理費率為0.3%/年。
京台合夥實際控制人為公司控股股東山東高速集團有限公司(“高速集團”)，為公司關聯方，此次交易構成關聯交易。此次認購京台合夥份額形成的關聯交易金額合計為約9.42億元，超過公司最近一期經審計淨資產的5%，此次交易已經公司第九屆董事會第五次會議審議通過，尚須提交股東大會審議，與該關聯交易有利害關係的關聯股東將回避表決。
公司子公司路橋集團及魯橋建設按招投標文件的規定，認購發包人指定主體京台合夥份額，能夠帶動公司施工總承包主營業務的發展。路橋集團及魯橋建設此次認購發包人指定主體京台合夥份額是施工投標的組成部分。該項目符合公司戰略發展方向，業主方承諾預期收益基本能夠覆蓋公司融資成本，平衡項目施工利潤後綜合回報較好。發包人作為高速集團分支機構，整體資金實力雄厚，不能按承諾保證投資人的預期收益並按協議約定歸還資金的風險較小。
