格林美(002340.SZ)擬轉讓江西格林美7.0217%股權
格隆匯 10 月 20日丨格林美(002340.SZ)公佈，為使公司管理層及核心技術人員能夠共享公司發展成果，公司(“甲方”)於2020年10月20日與員工持股平台温州鼎新企業管理合夥企業(有限合夥)、温州鼎升企業管理合夥企業(有限合夥)、温州盈尚企業管理合夥企業(有限合夥)、新餘鼎源企業管理中心(有限合夥)、新餘超盈企業管理中心(有限合夥)(以下統稱“乙方”)就擬分拆上市主體江西格林美資源循環有限公司(“江西格林美”或“目標公司”)股權轉讓事宜經友好協商簽訂了《股權轉讓協議》。
公司將持有目標公司7.0217%的股權(“標的股權”)轉讓予乙方，乙方有意受讓標的股權。同日，目標公司與戰略投資者豐城發展投資控股集團有限公司(“豐城發投”)、樂清德匯企業管理合夥企業(有限合夥)(“樂清德匯”)、楊瀟玥、馬懷義、蔡加亭、寧波梅山保税港區康星投資合夥企業(有限合夥)(“康星投資”)、深圳市華拓至遠叁號投資企業(有限合夥)(“華拓至遠叁號”)、深圳市華拓至遠陸號投資企業(有限合夥)(“華拓至遠陸號”)、揭陽市和潤投資有限公司(“和潤投資”)、廈門興旺互聯二號投資合夥企業(有限合夥)(“興旺互聯二號”)、章林磊、胡寧翔、珠海橫琴瑞紫創業投資基金合夥企業(有限合夥)(“珠海瑞紫”)簽訂了《增資協議》。此次轉讓股權及增資擴股後，乙方最終合計持有目標公司5.0931%股權。
根據同致信德(北京)資產評估有限公司出具的同致信德評報字(2020)第020079號《資產評估報告》所確認的目標公司截至2020年9月30日的全部權益為基礎並經雙方協商確定，目標公司此次股權轉讓整體估值為15億元，各方協商確定標的股權的最終交易價格合計為約1.05億元。
此次股權轉讓旨在建立、健全公司與員工利益共享機制，實現持股員工與公司共擔經營風險，共享成長收益，吸引和留住優秀人才，促進江西格林美在電子廢棄物綠色處理與資源化利用領域做強做大。
此次股權轉讓及增資擴股後，公司對江西格林美的持股比例將由100%變更為67.4407%，公司仍為江西格林美的控股股東，江西格林美仍納入公司合併報表範圍。此次股權轉讓事項不影響公司對江西格林美的控制權，對公司及江西格林美的經營和長期發展有利，不存在損害公司及全體股東利益的情形。
