競業達(003005.SZ)與京投控股等成立基石傳感
格隆匯 10 月 19日丨競業達(003005.SZ)公佈，公司於2020年7月6日召開第二屆董事會第一次會議，審議通過了《關於投資設立北京基石傳感科技有限公司並簽署相關投資協議的議案》，同意公司與北京京投投資控股有限公司(“京投控股”)、北京慧豐瑞達科技中心(有限合夥)(“慧豐瑞達”)共同出資，在北京市豐台區設立合資公司“北京基石傳感科技有限公司”(最終以工商局核准名稱為準)。此次對外投資事項為公司董事會審批權限範圍，無需提交公司股東大會審議。
2020年9月20日公司與京投控股及慧豐瑞達簽訂投資協議。近日，公司已完成工商註冊登記手續,並取得北京市豐台區市場監督管理局下發的《營業執照》，成立北京基石傳感信息服務有限公司(“基石傳感”)。
基石傳感的註冊資本為人民幣3000萬元整，其中：京投控股：出資額為1350萬元，以貨幣方式出資，佔註冊資本的45％；競業達：出資額為1200萬元，以貨幣方式出資，佔註冊資本的40％；慧豐瑞達：出資額為450萬元，以貨幣方式出資，佔註冊資本的15％。各方分三期繳清所認繳的出資額。
公司近年來已經在MEMS傳感器方面投入研發，形成了一定的知識產權及技術積累，並結合公司大數據分析處理能力研發了智慧城市相關產品，投入了市場。未來，公司將逐步形成MEMS傳感器+行業應用的戰略佈局，將MEMS傳感器應用於軌道交通、工業互聯網等業務場景。
京投控股為北京市基礎設施投資有限公司(“京投公司”)全資子公司。京投公司承擔以軌道交通為主的基礎設施投資與管理，以及軌道交通裝備製造與信息技術服務、土地與物業開發經營等相關資源經營與服務職能。京投控股為京投公司深耕軌道交通行業，進行股權投資、產業併購、創新孵化等業務的專業投資公司。
此次公司以自有資金與京投控股成立基石傳感，各方緊密合作、相互配合，發揮各自的統籌協調優勢和技術研發優勢，共同致力於設備狀態監測和健康管理(PHM系統)及各類型先進傳感器及配套產品、服務在軌道交通等領域的應用推廣。
