敏華控股(01999.HK)與理想家居訂立新框架協議
格隆匯 10 月 19日丨敏華控股(01999.HK)公告,有關購買華達利國際控股私人有限公司60%的股權。於2020年10月19日,公司、理想家居及擔保人訂立新框架協議,據此終止原框架協議。新框架協議亦載有訂約方就建議公司向司法管理人收購新目標公司全部股份的意向及共識,目前尚待與司法管理人聯繫。
由於正式買賣協議尚待協商及訂約,概無保證與司法管理人就收購新目標公司會達成任何協議。因此,公司將於有關時間作出進一步公佈並遵守相關上市規則。訂立新框架協議後,原收購事項將不會進行,因此,概不會就原收購事項向股東寄發通函。
與司法管理人的任何合約將受待協定條件的規限,包括新加坡高等法院於最後截止日期前作出的下列正式宣判:(i)宣判爭議出售無效;(ii)指示司法管理人接受公司作出的收購要約;及(iii)限制司法管理人進行任何決議及採取任何行動清盤原目標公司。
