格隆匯 10 月 19日丨藍盾股份(300297.SZ)發佈股票交易異常波動及風險提示公告，公司股票交易價格連續兩個交易日內(2020年10月16日、2020年10月19日)日收盤價格漲幅偏離值累計超過30%，根據《深圳證券交易所創業板交易特別規定》的相關規定，屬於股票交易異常波動的情況。
特別風險提示：
1、近期，公司和部分子公司及公司控股股東柯宗慶先生、柯宗貴先生因涉訴事項未履行生效法律文書確定義務，已被列入失信被執行人名單，詳情請查閲公司於2020年10月16日披露的《關於公司與部分子公司及控股股東被列入失信被執行人的公告》等相關公告。
2、2020年9月28日，公司披露了《關於公司及子公司新增部分債務逾期的公告》，公司及部分子公司累計債務逾期未償還金額為156,565.35萬元。
3、近期，受資金流動性不足等因素影響，公司陸續出現債務逾期、涉及訴訟及被列入失信被執行人等事項，日常生產經營受到較大不利影響，償債能力及盈利能力受到削弱；同時，由於涉訴事項被申請訴前財產保全，公司部分銀行賬户、資產已被法院凍結/查封；此外，因公司及部分子公司存在較多未結訴訟事項，如後續未能履行生效法律文書確定義務，存在新增被列入失信被執行人名單的可能性。詳情請查閲公司披露的《關於深圳證券交易所半年報問詢函回覆的公告》等相關公告。
4、公司控股股東部分質押股份存在違約風險及涉及訴訟，控股股東及其一致行動人持有的公司股份已全部被凍結，且其已被列入失信被執行人。該事項對公司的生產經營暫無實質性影響，但對公司的控制權穩定性產生一定影響。若控股股東及其一致行動人所質押、凍結的股份未能採取有效應對措施後續被司法處置，可能導致公司控制權發生變更。
5、2020年半年度，受新冠肺炎疫情影響，政府及客户單位延期復工復產，採購節奏放緩，公司原有訂單推後、項目實施人員進場受限、在手訂單實施及驗收延遲，造成公司網絡信息安全業務營業收入較去年同期下降。同時，公司全資子公司中經匯通電子商務有限公司由於業務開展受限，業績虧損較多，導致公司整體盈利能力下降。2020年半年度，公司實現營業收入49,881.51萬元，同比下降48.92%，實現歸屬於上市公司股東的淨利潤-6,752.81萬元，同比下降146.50%。公司《2020年第三季度報告》將於2020年10月30日披露，具體的財務數據將在《2020年第三季度報告》中披露。
