愛康科技(002610.SZ)：子公司擬參設慧康新能源 主投贛州愛康光電高效太陽能電池項目
格隆匯 10 月 19日丨愛康科技(002610.SZ)公佈，公司全資子公司蘇州愛康光電科技有限公司(“蘇州愛康光電”)擬與江西省發展升級引導基金(有限合夥)(“引導基金”)、無錫慧榮進出口貿易有限公司(“無錫慧榮”)、贛州市南康區城發集團金融投資有限公司(“南康城發”)以及江西金控投資管理中心(有限合夥)(“金控投資管理”)共同發起設立贛州市慧康新能源產業投資合夥企業(有限合夥)(暫定名，以工商核准為準，“慧康新能源”)。根據相關協議，合夥人合計認繳出資5.801億元，主要投資於公司全資孫公司贛州愛康光電科技有限公司(“贛州愛康光電”)高效太陽能電池項目。
贛州愛康光電是公司全資子公司蘇州愛康光電的全資子公司，贛州愛康光電擬新增註冊資本5.05億元，全部新增的註冊資本由慧康新能源認購。此次增資完成後，贛州愛康光電註冊資本將由6億元人民幣變更為11.05億元人民幣，慧康新能源佔增資完成後贛州愛康光電註冊資本的45.70%。公司全資子公司蘇州愛康光電放棄對此次新增註冊資本的優先增資認繳出資權，贛州愛康光電仍為公司的控股子公司，蘇州愛康光電佔贛州愛康光電註冊資本的54.30%。根據《投資協議》，此次增資完成後，蘇州愛康光電、愛康科技對贛州愛康光電仍享有實際控制權。
慧康新能源在滿足協議規定的條件下有權要求蘇州愛康光電回購其持有的全部贛州愛康光電的股權。公司對蘇州愛康光電承擔的股權回購義務提供連帶責任擔保。由於公司全資子公司蘇州愛康光電為慧康新能源的合夥人，認繳出資3.32億元，蘇州愛康光電實際承擔的股權回購義務應扣除自身的出資。公司實際為蘇州愛康光電提供擔保最高額不超過本金2.481億元及其年化收益。
除公司對股權回購義務承擔保證責任外，贛州市南康區城市建設發展集團有限公司(“南康城發集團”)對蘇州愛康光電承擔的股權回購義務提供限額一般保證擔保，承擔差額補足義務。蘇州愛康光電向南康城發集團提供反擔保，並向其支付反擔保保證金，反擔保期限為南康城發集團承擔擔保責任後三年，反擔保方式為連帶責任保證擔保。贛州慧谷供應鏈管理有限公司(“贛州慧谷”)以贛州港1號地塊(龍嶺工業園南區)國有土地使用權以及地上建築物的不動產權向南康城發集團提供抵押反擔保。贛州愛康光電向贛州慧谷提供反擔保，並向其支付反擔保保證金，反擔保期限為贛州慧谷承擔擔保責任後三年，反擔保方式為連帶責任保證擔保。由於公司提供的這兩項反擔保，其風險敞口已涵蓋在公司的回購擔保內，並沒有額外增加擔保風險敞口。
