天立教育(01773.HK)：成都天立獲注資4.4億元
格隆匯 10 月 16日丨天立教育(01773.HK)宣佈，於2020年10月16日，集團主要營運附屬公司天立教育與星潤資產管理、成都星潤、工商銀行理財及六名個別人士就投資有限合夥訂立有限合夥協議。於簽署有限合夥協議及訂約方根據有限合夥協議作出投資後，有限合夥(作為投資者)將就向成都天立注資訂立注資協議。
於簽署有限合夥協議及訂約方根據有限合夥協議作出投資後，有限合夥將與天立教育訂立注資協議，據此，有限合夥(作為投資者)同意以現金注資方式向成都天立注資人民幣4.40億元，以增加其股本。於注資後，有限合夥將獲得成都天立51.0%的股權。有限合夥向成都天立支付超出註冊資本增加額的注資金額應入賬列作成都天立的資本溢價。注資金額及有限合夥於注資後將持有的成都天立的股權乃根據成都天立擁有的兩所學校的估計總投資約人民幣8.63億元釐定。成都天立擬將注資的所得款項用於兩所學校的建設。
由於注資：(i)成都天立的註冊資本將由人民幣1000萬元增加至人民幣20400萬元；(ii)成都天立的資本溢價將由人民幣4.127億元增加至人民幣8.423億元；(iii)集團透過天立教育於成都天立的股權將由100.0%減少至49.0%；及(iv)成都天立將分別由有限合夥及天立教育擁有51.0%及49.0%股權。成都天立將不再為公司的附屬公司，而其財務業績將不再合併計入集團的財務報表。
據悉，成都天立為根據中國法律註冊成立的有限公司，主要從事教育服務及諮詢。於公告日期，其註冊資本為人民幣1000萬元，併為天立教育的全資附屬公司。
公司認為，有限合夥協議及注資協議項下擬進行的交易有益於公司及股東，原因為該等交易將為集團兩所學校的建設帶來資金。於增資完成後，公司仍將持有於成都天立的權益且將繼續自成都天立發展項目的未來增長及成功受益。
預期集團將在其綜合收益表中確認因視作出售事項而產生的收益約人民幣470萬元，該收益乃根據注資金額及成都天立的未經審核賬面價值估算。
