格隆匯 10 月 16日丨*ST天馬(002122.SZ)披露2020年股票期權與限制性股票激勵計劃(草案)，該激勵計劃包括股票期權激勵計劃和限制性股票激勵計劃兩部分。標的股票來源為公司向激勵對象定向發行的公司人民幣A股普通股股票。
該激勵計劃擬授予激勵對象權益總計5940.00萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額11.88億股的5.00%。其中首次授予4752.00萬股，佔該激勵計劃擬授出權益總數的80.00%，佔該激勵計劃草案公告日公司股本總額118,800.00萬股的4.00%；預留1188.00萬股，佔該激勵計劃擬授出權益總數的20.00%，佔該激勵計劃草案公告日公司股本總額118,800.00萬股的1.00%。具體如下：
(一)股票期權激勵計劃：該激勵計劃擬授予激勵對象股票期權3960.00萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額1.88億股的3.33%。其中首次授予3168.00萬份，佔該激勵計劃擬授出股票期權總數的80.00%，佔該激勵計劃草案公告日公司股本總額1.88億股的2.67%；預留792.00萬份，佔該激勵計劃擬授出股票期權總數的20.00%，佔該激勵計劃草案公告日公司股本總額1.88億股的0.67%。該激勵計劃下授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股公司人民幣A股普通股股票的權利。
(二)限制性股票激勵計劃：該激勵計劃擬授予激勵對象限制性股票1980.00萬股，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額1.88億股的1.67%。其中首次授予1584.00萬股，佔該激勵計劃擬授出限制性股票總數的80.00%，佔該激勵計劃草案公告日公司股本總額1.88億股的1.33%；預留396.00萬股，佔該激勵計劃擬授出限制性股票總數的20.00%，佔該激勵計劃草案公告日公司股本總額11.88億股的0.33%。
該激勵計劃授予的股票期權的行權價格為1.57元/份，限制性股票的授予價格為1.05元/股。該激勵計劃授予的激勵對象共計51人，包括公司公告該激勵計劃時在公司(含控股子公司)任職的董事、高級管理人員及核心技術/業務人員。不含獨立董事、監事、單獨或合計持股5%以上的股東或實際控制人及其配偶、父母、子女。
