*ST中珠(600568.SH)：收到上交所監管工作函
格隆匯10月16日丨*ST中珠(600568.SH)公佈，公司於2020年10月16日收到上海證券交易所《關於中珠醫療控股股份有限公司有關權益變動事項的監管工作函》(上證公函【2020】2591號)，現將《工作函》內容全文披露如下：
“中珠醫療控股股份有限公司：
2020年10月16日，你公司披露股東權益變動報告書，自然人肖妃英擬以協議轉讓方式受讓公司6.26%的股份。鑑於近期你公司董監高人員變動較大，現根據本所《股票上市規則》第17.1條的有關規定，就有關事宜要求如下。
一、公告顯示，本次權益變動，肖妃英受讓湯旭東、孫秀梅等共計20名交易對方合計持有的公司124,697,923股股份，轉讓完成後肖妃英持有公司總股本6.26%的股份。請公司及相關方核實並披露：(1)受讓方肖妃英與持有公司5%以上股份的股東、公司董事、監事、高級管理人員之間是否存在關聯關係和資金往來關係；(2)20名轉讓方股東之間前期是否存在關聯關系或一致行動關係，在以往股東大會投票表決事項中是否存在一致行動行為；(3)受讓方肖妃英支付本次股份轉讓價款的資金是否全部或部分來自於持有公司5%以上股份的股東、公司董事、監事、高級管理人員。
二、公告顯示，受讓人肖妃英在未來12個月內擬選擇合適的時機繼續增加在上市公司中擁有的股份。請相關方及時按照《臨時公告指引第九十九號上市公司股東及董監高增持股份計劃/進展/結果公告》的要求披露相關股份增持計劃。
三、近期你公司董事會決議罷免公司總裁、董事會祕書並召開臨時股東大會罷免3位董事，相關人員變動較大。你公司全體董事、監事、高級管理人員應當勤勉盡責，依法合規推進相關工作，確保信息披露渠道通暢、秩序規範，保護投資者知情權。
請公司收到本函後立即對外披露。希望你公司、全體董事、監事、高級管理人員、控股股東、實際控制人、相關股東本着對投資者負責的態度，認真落實上述要求，並及時履行信息披露義務，明確市場預期。”
