漢得信息(300170.SZ)：擬放棄對甄雲信息增資擴股的優先認購權
格隆匯 10 月 16日丨漢得信息(300170.SZ)公佈，公司2020年10月15日召開的第四屆董事會第十四次(臨時)會議審議通過了《關於放棄參股公司甄雲信息科技有限公司增資優先認購權暨關聯交易的議案》。
上海甄雲信息科技有限公司(“甄雲信息”或“標的公司”)擬由成都天府藍三木月創業投資中心(有限合夥)(“藍湖資本”)、蘇州市徳同合心創業投資合資企業(有限合夥)(“德同”)、上海眾數聯頌創業投資合夥企業(有限合夥)(“眾數投資”)、太倉市鐘鼎六號股權投資合夥企業(有限合夥)(“鐘鼎股權”)、太倉市鐘鼎六號青藍股權投資合夥企業(有限合夥)(“鐘鼎青藍”)共同出資人民幣1.42億元進行增資擴股，由Blue Lake Investment (HK) Limited、Blue Lake Capital III Investment (HK) Limited（與Blue Lake Investment (HK) Limited合稱“BlueLake”）、ACE Redpoint Ventures China II, L.P.、ACE Redpoint Associates China II, L.P. (與ACE Redpoint Ventures China II, L.P.合稱“紅點”，紅點與Blue Lake合稱“外資投資人”)共同出資2300萬美元進行增資擴股。
此次甄雲信息增資擴股前，公司持有甄雲信息37.5%股權。公司擬放棄對甄雲信息此次增資擴股的優先認購權，人民幣增資擴股交割完成後，公司持有的甄雲信息股權將下降至32.13%，美元增資擴股交割完成後，公司持有的甄雲信息股權將進一步稀釋。
公司實際控制人範建震為眾數投資的有限合夥人之一，雖未實際控制眾數投資，但根據審慎性原則也將眾數投資列為公司的關聯方，因此，此次公司放棄權利構成了關聯交易，且需提交股東大會進行審議。本次交易事項不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，無需經有關部門批准。
