英唐智控(300131.SZ)：就買斷思凱易事業部40%收益權相關事項進行了約定
格隆匯 10 月 15日丨英唐智控(300131.SZ)公佈，經各方協商一致，公司全資子公司深圳華商龍及全資孫公司華商龍科技一次性向深圳思凱易、香港思凱易支付最終交易對價人民幣5,900萬元買斷其擁有的思凱易事業部項下所享有的全部權益。深圳華商龍、華商龍科技、深圳思凱易、香港思凱易簽署了《合作協議之補充協議》，就買斷思凱易事業部40%收益權相關事項進行了約定。此次交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，不構成關聯交易。
在電子元器件分銷行業，部分原廠會通過代理商數量限制以保障業已獲得其代理權的代理商利益，部分原廠則會限制代理商同時申請具有競爭關係的不同品牌的產品代理權。因此，公司此前通過事業部合作模式，承接了思凱易事業部既有產品線代理權，獲得了稀缺的原廠代理資質、客户資源以及業務人員。
思凱易事業部是專注於為家電市場客户提供電子元器件產品代理銷售服務的分銷商，目前主要代理三墾、賽普拉斯品牌的電子元器件。其中日本三墾成立於1946年，具有獨立的芯片設計，生產，封裝，測試能力，產品廣泛應用在車載，消費類(白電)，工業控制等市場，思凱易事業部則是三墾近三年在國內的最大代理商。
思凱易事業部在2017-2019年培育期間，每年實現的税前利潤數額(扣除非經常性損益後的利潤)均超過800萬元，分別為人民幣1098.98萬元、人民幣2567.52萬元、人民幣3140.62萬元，保持了持續快速的增長，實現了業績對賭承諾。
公司結合中審眾環會計師事務所出具的專項審核報告及各方協商一致，以現金5900萬元人民幣一次性買斷合作方擁有的税前利潤分配權，將有利於進一步提升組織運營能力，加強相互之間的協同效應，並最終提升公司的市場競爭能力、市場佔有率及盈利能力，為公司未來的持續、穩定盈利提供有力保障。
