中昌國際控股(00859.HK)收到由陳林根及陳小華所提起的民事申索
格隆匯10月15日丨中昌國際控股(00859.HK)公告，於2020年10月15日，公司間接全資附屬公司鎮江天工收到由陳林根先生及陳小華女士（作為原告人）所提起的民事申索，當中公司間接全資附屬公司上海嶽信及鎮江天工分別被指明為第一被告人及第三被告人，而公司的獨立第三方三盛房地產則被指明為第二被告人。
民事申索指稱，據稱由上海嶽信（作為買方）、鎮江天工（作為目標公司）、三盛房地產（作為買方擔保人）、以及原告人（作為賣方）等各方就買賣鎮江天工全部股權而訂立的日期為2017年12月2日的股權轉讓協議出現違約。鎮江天工為該項目的項目公司。
董事會於民事申索中得悉，原告人指稱鎮江天工收購事項的收購代價總額為人民幣4.79億元，但已支付金額僅人民幣3.94億元，尚未支付餘額人民幣8472萬元。
根據民事申索，原告人提出以下申索：上海嶽信須償還合共人民幣9427萬元，此為鎮江天工收購事項的第二期未付代價結餘人民幣6078萬元與第三期未付代價結餘人民幣2393.5萬元（兩者合計人民幣8472萬元）加算定違約金人民幣955萬元的總和；三盛房地產須共同負責償還上文所申索的金額；鎮江天工須共同負責償還人民幣2907.6萬元，此為鎮江天工收購事項的第三期未付代價結餘人民幣2393.5萬元加算定違約金人民幣514萬元（可予更新）的總和；及上海嶽信及三盛房地產須承擔原告人訟費人民幣270萬元，其中鎮江天工須承擔人民幣83萬元。
董事會注意到，民事申索所指稱的若干文件及事實與收購事項通函所載的披露資料及與現屆執行董事所理解者似乎有所不符。董事會注意到，於2018年12月至2019年3月期間在公司訂立買賣協議並完成有關收購德領全部權益的收購事項時，於本公佈日期的在任執行董事及高級管理人員尚未加入集團。董事會亦注意到，於本公佈日期，於有關時間在任的公司執行董事及高級管理人員均已離開集團。現屆管理層獨立於上屆管理層、賣方、三盛房地產、陳建銘先生及陳立軍先生，並與彼等概無關連。
由於鎮江天工收購事項乃於現屆管理層加入集團之前發生，故董事會正調查民事申索書所指稱的事實，以及上屆管理層於有關時間就收購事項所作的原有披露是否準確，包括但不限於收購事項公佈及收購事項通函所披露者、上屆管理層是否有任何錯失，以及現屆管理層可採取甚麼行動以保障公司及其股東的利益等。民事申索預定於2020年11月24日進行聆訊。
