莎普愛思(603168.SH)風險提示：現金收購泰州醫院100%股權評估增值率較高
格隆匯10月15日丨莎普愛思(603168.SH)發佈風險提示公告，公司擬現金收購泰州市婦女兒童醫院100%股權，資產評估增值率為278.88%，評估增值率較高。由於評估過程的各種假設存在不確定性，存在因未來實際情況與評估假設不一致，特別是宏觀經濟的波動、產業政策的變化、市場競爭環境改變等情況，使得標的資產未來盈利水平達不到評估時的預測，導致出現標的資產的估值與實際情況不符的情形。
根據公司與交易對方簽訂的股權轉讓協議，本次交易業績承諾期為三年，即2020年、2021年、2022年。交易對方承諾在2020年度、2021年度、2022年度的淨利潤分別不低於3,108.50萬元、3,778.50萬元、4,113.00萬元，累計淨利潤不低於11,000萬元。儘管公司與交易對方簽訂的股權轉讓協議包含業績承諾及補償條款，但考慮到未來存在行業發展、市場競爭及宏觀經濟變化的不確定性，仍不排除存在標的公司在業績承諾期間實際業績低於承諾業績的情形。
標的公司二期工程尚未建設，需待二期工程建設完工後統一辦理不動產權證，故標的公司目前擁有的土地使用權及房屋所有權均未取得相應的產權證書。雖然當地土地主管部門出具了無違法的證明，並且交易對方及實控人林弘立、林弘遠兄弟承諾：若因該等事項給公司或標的公司造成任何損失的，交易對方及實控人承擔全額賠償責任，仍不排除未取得相應的產權證書給公司帶來損失的風險。
本次交易完成後，公司資產和業務規模有較大幅度的增加，公司面對客户及市場將更加多元，公司的產業覆蓋地域將有所擴張，進入公司人員將有所增加，上述多維度的擴展將對公司的現有治理格局帶來衝擊與挑戰；同時，由於公司與本次標的公司標的公司在業務細分領域、組織機構設置、內部控制管理等方面有所不同，公司能否在業務、資產、財務、人員及機構等方面對標的資產進行有效整合，能否充分發揮本次交易的協同效應，尚存在一定的不確定性。
本次交易完成後，在公司合併資產負債表將形成金額較大的商譽。根據《企業會計準則》規定，本次交易形成的商譽不作攤銷處理，但需在未來每年年度終了做減值測試。如果標的公司未來經營狀況與預期存在較大不良差異，則存在商譽減值的風險，從而對公司當期損益造成不利影響，進而影響公司股價及未來發展趨勢。
