國城礦業(000688.SZ)：監事宋清波違規買賣公司股票
格隆匯 10 月 15日丨國城礦業(000688.SZ)公佈，公司經自查發現公司監事宋清波於2020年10月13日至2020年10月14日期間有買賣公司股票行為，以上買入又賣出公司股票行為構成短線交易、敏感期買賣股票等違規交易。
經核實，宋清波因工作繁忙其本人股票賬户委託朋友代為管理。2020年10月13日下午在其本人不知情且未獲悉公司任何涉及影響股票價格的內幕信息的情況下，朋友在打理其股票賬户時因證券代碼輸入錯誤導致誤操作通過競價交易買入公司股票100股(成交價12.67元/股)，2020年10月14日朋友又不慎通過競價交易賣出公司股票25股(成交價為12.29元/股)。截止公告日，宋清波共計持有公司股票75股。
根據《證券法》《深圳證券交易所股票上市規則》《深圳證券交易所上市公司規範運作指引》等相關規定，上市公司董事、監事、高級管理人員、持有上市公司5%以上股份的股東，將其持有的公司股票在買入後六個月內賣出，或者在賣出後六個月內買入，由此所得收益歸上市公司所有，公司董事會應當收回其所得收益，宋清波此次誤操作買入公司股票數量為100股，買入價12.67元/股，賣出股票25股，賣出價12.29元/股，未獲利。宋清波承諾剩餘75股股票鎖定一年，期滿日後若賣出產生收益將全部歸公司所有。此次短線交易行為宋清波未獲得收益，故不存在將收益交至公司的情況。
宋清波鑑於此次違規交易給公司和證券市場帶來不良影響，經本人考慮後，於2020年10月15日向公司申請辭去職工監事職務，宋清波辭去監事職務後，仍在公司任職。截止公告披露日，宋清波共計持有公司股票75股。宋清波辭職將導致監事會人數低於3人，根據《公司法》《公司章程》等有關規定，宋清波的辭職申請將在職代會產生新的職工代表監事後生效，為保障監事會工作的順利開展，公司將盡快補選新的職工代表監事。
