人瑞人才(06919.HK)与迅腾集团订立投资及战略合作协议
格隆汇 10 月 15日丨人瑞人才(06919.HK)发布公告，2020年10月15日，公司全资附属公司人瑞人才科技集团有限公司与天津滨海迅腾科技集团有限公司、迅腾集团控股股东邵荣强、邵荣喜及天津仟堃企业管理合伙企业(有限合伙)订立有条件投资协议。根据投资协议，人瑞人才集团同意于迅腾集团投资合共人民币2000万元。如果截至2022年12月31日止三个年度迅腾集团财务业绩低于协定目标的80%，有关估值以及人瑞人才集团的投资金额会进行调整。
于该公告日期，迅腾集团分别由迅腾控股股东、天津仟堃及邵荣喜持有75%、20%及5%权益。完成后，迅腾集团将分别由迅腾控股股东、天津仟堃、人瑞人才集团及邵荣喜持有63.75%、17%、15%及4.25%权益，而迅腾集团将不会成为公司附属公司。
同日，人瑞人才集团与迅腾集团订立独家战略合作协议，以加强双方的主要业务。有关独家合作关系的年期由战略合作协议日期起直至2024年6月30日，倘双方同意可进一步延长至2028年6月30日。于年期内，迅腾集团不得与其他从事提供人力资源或业务流程外包服务以及与集团业务有所竞争的公司合作。
根据战略合作协议，订约方须按以下方式合作：(i)集团须于2020年至2024年期间转介符合协定规模的合适业务流程外包项目予迅腾集团，而迅腾集团须在公司指导下为其经营的学院内将设立的业务流程外包服务培训中心建设设施及采购设备，以营运该等业务流程外包项目；(ii)迅腾集团每年须转介不少于该等学院总数20%的学生作为实习生以于该等学院的业务流程外包服务培训中心工作，以及每年须推荐不少于该等学院总数50%的毕业生参加集团灵活用工业务和专业招聘业务客户举办的招聘活动；(iii)迅腾集团须鼓励该等学院的学生于香聘平台(香聘，集团的专有招聘平台)注册成为会员以作求职之用；及(iv)集团与迅腾集团须改善该等学院提供的职业训练课程，以满足集团客户的招聘要求。
公告表示，集团计划通过开展产业与教育相融合的业务，为输送至集团灵活用工客户合适的潜在求职者提供培训与培养，以及通过该等学院内业务流程外包服务培训中心为学生提供实习机会，使得他们通过实习可以学习客户服务代表、信息认证等工作的的服务技能。
