神力股份(603819.SH)擬2.64億元購買礪劍防衞55%股權並向其增資3000萬元
格隆匯 10 月 15日丨神力股份(603819.SH)公佈，公司擬以現金購買礪劍防務技術集團有限公司(“礪劍集團”、“交易對方”)持有的深圳礪劍防衞技術有限公司(“礪劍防衞”、“標的公司”)55%的股權(“標的股權”)。交易價格以評估機構出具的截至評估基準日標的公司股東全部權益價值的評估值4.8138億元為基礎確定，根據轉讓股權的比例，經公司與交易對方協商一致後確定交易價格為2.64億元。同時，公司擬對礪劍防衞增資3000萬元。
礪劍防衞成立於2014年5月，系一家專注於公共安全、防爆安檢領域的國家級高新技術企業，並在熒光檢測技術、信息化開發和系統集成的大屏顯示系統方面進行了大量投入及研發，取得了系列化的研發成果和產品，且已陸續推向市場。
目前，礪劍防衞主要產品是其自主研發的反恐安檢裝備(主要為爆炸物與毒品探測儀器設備)和系統解決方案，已廣泛應用於警衞安保、反恐安保、邊檢緝毒，以及倉儲物流，高速公路，民航企業、軌道交通(地鐵、高鐵)等物流交通領域，並在大型的峯會、展會、論壇等活動中得到廣泛使用，獲得用户的高度認可和一致好評。同時，礪劍防衞也逐步向民用領域大範圍拓展，產品最終用户涵蓋城市地鐵、鐵路等軌道交通、貨場及分揀中心等倉儲物流、民航運輸和高速公路等核心客户。
未來礪劍防衞將以熒光檢測技術為核心，持續拓展微波檢測技術、光譜檢測技術、多視角X光檢測技術，以及生物基因診斷檢測技術，逐步形成一家在公共安全、防爆安檢、健康檢測、食品檢測、動植物檢疫等領域擁有核心技術優勢的高新技術企業。
交易對方承諾標的公司2020年度、2021年度、2022年度實現的淨利潤分別不低於1500萬元、4000萬元、6500萬元。
交易對方礪劍集團是國內大型的民營軍工集團，擁有較強的軍工安防領域的管理經驗和較為廣泛的軍工產業上下游資源，因此，此次股權收購後，上市公司可以通過礪劍集團和礪劍防衞的現有管理層，較好地管理和整合新併入上市公司的安防檢測設備業務，讓上市公司能有效地向“電機零部件+安防軍工”雙輪驅動戰略轉型。
