人瑞人才(06919.HK)與迅騰集團訂立投資及戰略合作協議
格隆匯 10 月 15日丨人瑞人才(06919.HK)發佈公告，2020年10月15日，公司全資附屬公司人瑞人才科技集團有限公司與天津濱海迅騰科技集團有限公司、迅騰集團控股股東邵榮強、邵榮喜及天津仟堃企業管理合夥企業(有限合夥)訂立有條件投資協議。根據投資協議，人瑞人才集團同意於迅騰集團投資合共人民幣2000萬元。如果截至2022年12月31日止三個年度迅騰集團財務業績低於協定目標的80%，有關估值以及人瑞人才集團的投資金額會進行調整。
於該公告日期，迅騰集團分別由迅騰控股股東、天津仟堃及邵榮喜持有75%、20%及5%權益。完成後，迅騰集團將分別由迅騰控股股東、天津仟堃、人瑞人才集團及邵榮喜持有63.75%、17%、15%及4.25%權益，而迅騰集團將不會成為公司附屬公司。
同日，人瑞人才集團與迅騰集團訂立獨家戰略合作協議，以加強雙方的主要業務。有關獨家合作關係的年期由戰略合作協議日期起直至2024年6月30日，倘雙方同意可進一步延長至2028年6月30日。於年期內，迅騰集團不得與其他從事提供人力資源或業務流程外包服務以及與集團業務有所競爭的公司合作。
根據戰略合作協議，訂約方須按以下方式合作：(i)集團須於2020年至2024年期間轉介符合協定規模的合適業務流程外包項目予迅騰集團，而迅騰集團須在公司指導下為其經營的學院內將設立的業務流程外包服務培訓中心建設設施及採購設備，以營運該等業務流程外包項目；(ii)迅騰集團每年須轉介不少於該等學院總數20%的學生作為實習生以於該等學院的業務流程外包服務培訓中心工作，以及每年須推薦不少於該等學院總數50%的畢業生參加集團靈活用工業務和專業招聘業務客户舉辦的招聘活動；(iii)迅騰集團須鼓勵該等學院的學生於香聘平台(香聘，集團的專有招聘平台)註冊成為會員以作求職之用；及(iv)集團與迅騰集團須改善該等學院提供的職業訓練課程，以滿足集團客户的招聘要求。
公告表示，集團計劃通過開展產業與教育相融合的業務，為輸送至集團靈活用工客户合適的潛在求職者提供培訓與培養，以及通過該等學院內業務流程外包服務培訓中心為學生提供實習機會，使得他們通過實習可以學習客户服務代表、信息認證等工作的的服務技能。
