民生教育(01569.HK)擬不超2.88億元收購都學網絡60%的股權
格隆匯10月15日丨民生教育(01569.HK)發佈公告，2020年10月14日，民晟智才(為公司的一家合併附屬實體)、瑞昌安瑞、壽光港華、張詩華、張普勝及都學網絡訂立股權轉讓協議。據此，民晟智才有條件同意收購及瑞昌安瑞有條件同意出讓其持有都學網絡60%的股權，對價為都學網絡截至2020年和2021年12月31日止兩個年度的經審計合併財務報表歸屬於母公司股東扣除非經常性損益税後合計淨利潤平均值的12倍確定的公司估值乘以60%，根據都學網絡管理層預測的淨利潤平均值估算，為人民幣2.484億元(可予以調整，最高不超過人民幣2.88億元)。
張詩華、張普勝、瑞昌安瑞、壽光港華及都學網絡連帶地向民晟智才承諾，於交割後最初3個完整財務會計年度，即截至2021、2022及2023年12月31日止三個年度，經審計合計完成歸屬於母公司扣除非經常性損益税後淨利潤應當為人民幣1.5561億元。其中截至2021年12月31日止年度經審計歸屬於母公司扣除非經常性損益税後淨利潤不低於人民幣3900萬元；截至2022年12月31日止年度經審計歸屬於母公司扣除非經常性損益税後淨利潤不低於人民幣5070萬元；截至2023年12月31日止年度經審計歸屬於母公司扣除非經常性損益税後淨利潤不低人民幣6591萬元。
都學網絡作為“都學課堂”及“MBACHINA”的實際營運主體，主要提供工商管理碩士類在線教育業務及教育信息化服務業務，其中包括管理類聯考、國際項目、選校諮詢、考前培訓、備考教材、海外商學院、論文寫作培訓、博士申請服務等。截至2020年7月31日，(i)與都學網絡合作的商學院累計200多家，包括北京大學匯豐商學院、清華大學五道口金融學院、長江商學院、復旦大學泛海國際金融學院、上海交通大學安泰經濟與管理學院、香港大學及香港科技大學等知名商學院；及(ii)都學課堂及MBACHINA累計註冊用户人數約190萬人，2020年新增註冊用户人數約15.9萬人，新增付費用户約9.8萬人。
