*ST海陸(002255.SZ)：信披違規收到江蘇證監局警示函
格隆匯 10 月 14日丨*ST海陸(002255.SZ)公告，公司於2020年10月13日收到中國證券監督管理委員會江蘇監管局下發的《關於對蘇州海陸重工股份有限公司採取出具警示函措施的決定》(【2020】90號)，現將主要內容公告如下：
經查，你公司存在以下違規行為：
2019年10月25日你公司披露2019年第三季度報告，預計2019年度淨利潤為-8,000萬元至-5,000萬元。2020年4月28日你公司披露2019年年度報告，2019年度淨利潤為-18.44億元。你公司在2019年度業績預告時披露的淨利潤與實際淨利潤存在較大差異，未按規定及時對業績預告進行修正。
你公司的上述行為，不符合《上市公司信息披露管理辦法》第二條的規定。依據《上市公司信息披露管理辦法》第五十九條的規定，現決定對你公司採取出具警示函的行政監管措施，並記入證券期貨市場誠信檔案。請你公司按照相關法律、行政法規和中國證監會規定的要求，強化信息披露管理，嚴格按規定履行信息披露義務。全體董事、監事、高級管理人員應加強相關證券法律法規的學習，切實提高規範意識和履職能力。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
收到上述監管措施決定後，公司及相關人員高度重視，深刻反思公司信息披露工作中存在的問題和不足，在今後的經營管理中將認真吸取經驗教訓，堅決遵循上市公司信息披露規範要求，加強對《上市公司信息披露管理辦法》以及其他相關法律、法規的學習，進一步規範公司運作水平，依法切實履行信息披露義務，不斷提高公司信息披露質量，杜絕此類事件的再次發生，維護公司及全體股東利益，促進公司健康、穩定和持續發展。
