泰和科技(300801.SZ)：信披違規 公司及相關責任人收到山東監管局警示函
格隆匯 10 月 12日丨泰和科技(300801.SZ)公佈，近日收到中國證券監督管理委員會山東監管局(以下簡稱“山東監管局”)行政監管措施決定書《關於對山東泰和水處理科技股份有限公司及相關責任人採取出具警示函措施的決定》([2020]51號)(以下簡稱“《決定書》”)，現將有關情況公告如下：
《決定書》內容：
山東泰和水處理科技股份有限公司、程終發、程霞：
2020年2月2日，你公司在深圳證券交易所“互動易”(以下簡稱互動易)回答投資者提問時表示，公司現在生產和經營的產品中，苯扎氯銨和次氯酸鈉(84消毒液)可用於新型冠狀病毒防疫過程中的環境消毒工作；公司擬生產的過氧乙酸，亦可用於新型冠狀病毒防疫過程中的環境消毒工作。2020年2月6日，你公司發佈的《股票交易異常波動公告》稱，公司目前消毒劑類產品正常開工，主要產品苯扎氯銨和次氯酸鈉可用於環境消毒工作。2020年2月10日，你公司在《關於深圳證券交易所關注函回覆的公告》中披露，2018年、2019年及2020年1月1日至2月7日，公司次氯酸鈉的銷售收入佔比分別為0.03%、0.05%、3.57%。苯扎氯銨的銷售收入佔比分別為7.17%、8.22%、6.72%；苯扎氯銨主要用於水處理行業，少數客户用於公共衞生消毒領域；過氧乙酸投產後對公司生產經營及財務狀況不會產生重大影響。
在明知以往生產經營的相關消毒劑類產品收入佔比較低、次氯酸鈉銷售收入不高、苯扎氯銨只有少數客户用於公共衞生消毒領域、擬生產的過氧乙酸預計對公司生產經營及財務狀況不會產生重大影響等情況下，你公司在《股票交易異常波動公告》中未對上述情況進行充分披露，也未針對上述情況進行充分的風險提示。
你公司上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條的規定。程終發作為公司董事長兼總經理，程霞作為公司董事會祕書，違反了《上市公司信息披露管理辦法》(證監會令第40號)第三條的規定。根據《上市公司信息披露管理辦法》(證監會令第40號)第五十八條、第五十九條的規定，現決定對你公司及程終發、程霞採取出具警示函的監管措施，並將相關情況記入證券市場誠信檔案。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
