希望教育(01765.HK)擬收購及認購世紀鼎利(300050.SZ) 29.76%股份
格隆匯10月12日丨希望教育(01765.HK)公告，於2020年10月12日，公司全資子公司四川特驅五月花教育管理有限公司（買方）與珠海世紀鼎利科技股份有限公司（賣方）訂立股份轉讓協議，買方有條件同意購買目標公司世紀鼎利(300050.SZ)股份，代價為人民幣3.925億元（可予調整）。待售股份佔目標公司於本公告日期的全部股本約8.75%。完成後，公司將通過買方於目標公司全部股本約8.75%擁有權益。
此外，特驅五月花外商獨資企業已訂立認購協議，據此，特驅五月花外商獨資企業在《表決權委託協議》約定的委託事項完成後經目標公司董事會、股東會同意並通過相關監管機構審批或備案通過後以認購價認購1.71億股目標公司股份。如目標公司日期為2020年10日12日的公告所披露，每股發售股份發行價為人民幣5.27元以及認購價為人民幣9.01億元。
預期於緊隨收購事項及建議認購事項完成後，公司將通過特驅五月花外商獨資企業持有目標公司全部股本的約29.76%。
於2020年10月12日，葉濱先生（目標公司的實際控制人）與特驅五月花外商獨資企業訂立投票權委託協議，以將葉先生目前持有的目標公司剩餘8%的股權附帶的投票權，合計4574.5萬股股份附帶的投票權，委託予特驅五月花外商獨資企業。
同日，葉先生與特驅五月花外商獨資企業訂立一致行動協議，據此就委託投票權而言，葉先生承諾於目標公司的股東大會根據特驅五月花外商獨資企業作出的決定行使其投票權。倘若有委託投票權以外的其他事宜需要葉先生行使股東投票權，葉先生將於目標公司的股東大會根據特驅五月花外商獨資企業作出的決定行使其投票權。
公司認為，收購事項及建議認購事項將豐富集團的業務類型，為集團的新業務發展奠定基礎；尋求更多的產業協同，拓寬集團的發展渠道；增強集團的市場競爭力；特別是在職業教育領域的產業延伸方面尋求更大的突破。
