濱江集團(002244.SZ):與興耀房產、弘拓房產及元壟地產合作開發杭州濱江區地塊
格隆匯 10 月 12日丨濱江集團(002244.SZ)公佈,2020年10月9日,為發揮各自優勢,全資子公司杭州濱珞企業管理有限公司(“公司”或“乙方”)與杭州興耀房地產開發集團有限公司(“興耀房產”或“甲方”)、杭州弘拓房地產開發有限公司(“弘拓房產”或“丙方”)及浙江元壟地產集團有限公司(“元壟地產”或“丁方”)簽訂了《杭政儲出[2020]60號地塊合作開發協議》。
甲方全資子公司杭州星昇商務諮詢有限公司(“目標公司”)已於2020年9月18日競得杭政儲出[2020]60號地塊(“目標地塊”)之國有建設用地使用權,並已設立一家全資子公司杭州星昀置業有限公司(“項目公司”)作為目標地塊唯一開發建設主體。
根據合作協議約定,乙丙丁三方將通過對目標公司增資的方式取得目標公司股權,此次增資擴股完成後,目標公司註冊資本將由50萬元增至71000萬元,甲乙丙丁四方在目標公司的股權比例分別為22.5%、25%、30%和22.5%(“約定股權比例”),並通過目標公司間接共同持有項目公司的股權,各方將按約定股權比例共同開發目標地塊,對目標地塊共同投資、共擔風險、共享收益。
地塊名稱為杭政儲出[2020]60號地塊,該地塊項目位於杭州市濱江區,東至冠一河規劃綠化,南至規劃支路,西至規劃信誠南路,北至規劃支路。土地面積為44633㎡,出讓建築面積98192.6㎡,規劃用途為城鎮住宅用地。
