朗华国际集团(08026.HK)：将集中资源向AIFC申请自己的数字银行牌照
格隆汇 10 月 9日丨朗华国际集团(08026.HK)宣布，于2020年10月9日，公司非全资附属CBGF与EBRI签订回购协议，根据该协议，CBGF同意购回且EBRI同意出售代表EBRI在CBGF中所持所有股权的回购股份。作为EBRI向CBGF出售回购股份的代价，CBGF应于完成时向EBRI转让代表目标全部已发行股本的代价股份。
完成已于回购协议签署时发生。于完成时，集团已不再持有目标集团各成员公司的任何股权，目标集团各成员公司已不再为公司的附属公司。因此，目标集团的财务业绩于完成时不再合并到集团的业绩。于完成时，EBRI已不再为CBGF的股东。
紧接完成前，目标为CBGF的全资附属公司，是在香港注册成立的有限公司。ECF为目标的全资附属公司，是在AIFC注册成立的有限公司，已获授金融科技实验室参与者许可。
公告称，自集团于2020年5月透过认购CBGF股份完成对目标集团的投资后，ECF一方面按照实施时间表进行系统开发及测试，另一方面与阿斯塔纳金融服务管理局联络，将金融科技实验室参与者许可换为AIFC全面银行牌照。与阿斯塔纳金融服务管理局联络过程中，彼等对EBRI的最终实益拥有人亦于其他银行法团拥有实益权益向ECF表示关注。
董事会对AIFC作为中亚主要金融中心的未来潜力及发展前景持乐观态度，并预计其将在"一带一路"沿线地区，尤其是贸易及供应链融资方面发挥重要作用。因此，董事会打算将来向AIFC申请自己的数字银行牌照。出售事项使集团能自行在AIFC重新申请数字银行牌照，集团拟尽快向阿斯塔纳金融服务管理局申请金融科技实验室参与者许可。
鉴于上文所述，董事会相信并认为，回购及出售事项能使集团集中资源向AIFC申请自己的数字银行牌照，并使集团精简业务方向以提升发展潜力及为股东带来更高回报。
