朗華國際集團(08026.HK)：將集中資源向AIFC申請自己的數字銀行牌照
格隆匯 10 月 9日丨朗華國際集團(08026.HK)宣佈，於2020年10月9日，公司非全資附屬CBGF與EBRI簽訂回購協議，根據該協議，CBGF同意購回且EBRI同意出售代表EBRI在CBGF中所持所有股權的回購股份。作為EBRI向CBGF出售回購股份的代價，CBGF應於完成時向EBRI轉讓代表目標全部已發行股本的代價股份。
完成已於回購協議簽署時發生。於完成時，集團已不再持有目標集團各成員公司的任何股權，目標集團各成員公司已不再為公司的附屬公司。因此，目標集團的財務業績於完成時不再合併到集團的業績。於完成時，EBRI已不再為CBGF的股東。
緊接完成前，目標為CBGF的全資附屬公司，是在香港註冊成立的有限公司。ECF為目標的全資附屬公司，是在AIFC註冊成立的有限公司，已獲授金融科技實驗室參與者許可。
公告稱，自集團於2020年5月透過認購CBGF股份完成對目標集團的投資後，ECF一方面按照實施時間表進行系統開發及測試，另一方面與阿斯塔納金融服務管理局聯絡，將金融科技實驗室參與者許可換為AIFC全面銀行牌照。與阿斯塔納金融服務管理局聯絡過程中，彼等對EBRI的最終實益擁有人亦於其他銀行法團擁有實益權益向ECF表示關注。
董事會對AIFC作為中亞主要金融中心的未來潛力及發展前景持樂觀態度，並預計其將在"一帶一路"沿線地區，尤其是貿易及供應鏈融資方面發揮重要作用。因此，董事會打算將來向AIFC申請自己的數字銀行牌照。出售事項使集團能自行在AIFC重新申請數字銀行牌照，集團擬儘快向阿斯塔納金融服務管理局申請金融科技實驗室參與者許可。
鑑於上文所述，董事會相信並認為，回購及出售事項能使集團集中資源向AIFC申請自己的數字銀行牌照，並使集團精簡業務方向以提升發展潛力及為股東帶來更高回報。
