西部礦業(601168.SH)擬收購西部鎂業91.40%股權
格隆匯 10 月 9日丨西部礦業(601168.SH)公佈，為貫徹落實公司資源發展戰略，新增公司資源儲備，拓展資源開發品種，由金屬礦產向鹽湖資源開發領域拓展，延伸礦產資源產業鏈，提高公司整體科技含量，增強公司發展動力，公司擬以聘請的具有證券期貨業務資格的資產評估機構北京北方亞事資產評估事務所(特殊普通合夥)以2020年8月31日為基準日出具的《西部礦業股份有限公司擬收購西部礦業集團有限公司持有的青海西部鎂業有限公司91.40%的股權所涉及的青海西部鎂業有限公司股東全部權益項目資產評估報告》(北方亞事評報字[2020]第01-604號)中確認的全部股權價值6.155億元，對應的西礦集團持有西部鎂業91.40%股權價值約5.63億元為參考依據，收購西部鎂業91.40%股權。此次收購完成後，公司持有西部鎂業91.40%股權。
西部鎂業主要從事鹽湖提鎂和化工鎂產品加工業務，是國內第一家生產規模達到10萬噸以上的鹽湖鎂資源開發高新企業，2020年2月入選國務院國有企業改革領導小組辦公室“全國科改示範行動”試點企業。西部鎂業主要產品有氫氧化鎂、高純氫氧化鎂、超細氫氧化鎂、高純氧化鎂、電熔鎂砂等，各類產品純度達99%以上，廣泛應用於阻燃、醫療、軍工、航天航空、新能源等領域，多數產品銷往國際市場。西部鎂業擁有自主知識產權的鹽湖滷水-氨石灰聯合法連續生產高純氫氧化鎂等多項專利和科技成果，徹底解決了氫氧化鎂過濾及洗滌性能這一世界性難題。
西部鎂業通過技術升級，2019年7月全面建成15.5萬噸/年高純氫氧化鎂、13萬噸/年高純氧化鎂、2萬噸/年高純超細氫氧化鎂、4萬噸/年高純電熔鎂砂，2020年6月全面建成5萬噸/年高純燒結鎂砂生產線。
目前西部鎂業生產線已全面建成，正在試運行，後期將根據市場需求調整產品結構及生產計劃，以取得最好的經濟效益。
目前公司礦山板塊全資持有或控股並經營十三座礦山。公司始終堅持資源開發戰略不動搖，為實現公司可持續健康發展，必須不斷補充後備資源。此次收購將為公司增加在產鹽湖礦山一處，提升資源儲備，涉足鹽湖資源開發領域，為今後省內優勢鹽湖資源開拓奠定基礎。此次收購完成後，西部鎂業納入公司合併報表範圍，將進一步提高公司市場競爭力。
