博實股份(002698.SZ)：王永潔教授股份繼承非交易過户完成
格隆匯 10 月 9日丨博實股份(002698.SZ)公佈，2020年10月9日，公司收到蔡鶴皋和蔡志宏的通知，根據其近日收到的中國證券登記結算有限責任公司《證券過户登記確認書》，王永潔教授生前所持有的約8271萬股公司股份已於2020年9月28日過户至蔡鶴皋和蔡志宏名下。至此，王永潔教授名下持有的公司股份已全部過户完成。
此次過户完成後，蔡鶴皋持有公司股份5000萬股，佔公司總股本的4.89%,其中高管鎖定股3750萬股，佔公司總股本的3.67%，無限售條件股份1250萬股，佔公司總股本的1.22%；蔡志宏持有公司股份5067.7萬股，佔公司總股本的4.96%，均為無限售條件股份。
王永潔教授生前曾與鄧喜軍、張玉春、王春鋼簽訂《一致行動協議》，保持一致行動關係，對公司共同控制。2020年9月26日，鄧喜軍、張玉春、王春鋼、蔡鶴皋簽訂《關於<一致行動協議>的變更協議》，鄧喜軍、張玉春、王春鋼、蔡鶴皋四位自然人保持一致行動關係，對公司共同控制。2020年9月26日，蔡志宏出具《確認及承諾函》，確認：此次股票繼承過户完成後，其將基於個人意願獨立行使相關股東權利，其與蔡鶴皋未簽署任何一致行動協議或達成類似協議、安排，也不存在其他任何一致行動的計劃，其與蔡鶴皋不構成一致行動人；其不與鄧喜軍、張玉春、王春鋼在股東大會的召集、召開、提案權及表決權的行使上採取一致行動，不與鄧喜軍、張玉春、王春鋼作出一致行動安排。《確認及承諾函》承諾：不謀求博實股份控制權，不在股東大會的召集、召開、提案權及表決權的行使上與原一致行動人之外的任何第三方作出一致行動安排。
此次過户完成後，鄧喜軍、張玉春、王春鋼、蔡鶴皋合計持有公司股份2.85億股，佔公司總股本的27.90%，通過《一致行動協議》，保持一致行動關係，對公司共同控制。
