申能股份(600642.SH)：子公司完成對關嶺卓陽及關嶺卓申增資
格隆匯 10 月 9日丨申能股份(600642.SH)公佈，日前，公司全資子公司申能新能源(青海)有限公司(“青海新能源”)與卓陽能源集團有限公司、關嶺隆光新能源科技有限公司(“關嶺隆光”)達成一致，並完成對關嶺卓陽新能源科技有限公司(“關嶺卓陽”)和關嶺卓申新能源科技有限公司(“關嶺卓申”)兩家公司的增資。增資後，“青海新能源”實現對上述兩家公司控股。
此次交易的兩家目標公司為“關嶺卓陽”和“關嶺卓申”，均原為“關嶺隆光”的全資子公司。
“關嶺卓陽”於2019年7月17日在貴州省安順市關嶺布依族苗族自治縣市場監督管理局註冊成立，註冊資本700萬元。“關嶺卓陽”擁有關嶺縣崗烏卓陽農業光伏電站項目的開發權、所有權和經營權，項目總裝機容量為20萬千瓦，包括光伏場站和220千伏升壓站，已取得《貴州省能源局關於同意關嶺縣崗烏卓陽農業光伏電站項目備案的通知》(黔能源審[2019]111號)，並於2019年12月31日實現併網發電。
“關嶺卓申”於2019年12月5日在貴州省安順市關嶺布依族苗族自治縣市場監督管理局註冊成立，註冊資本100萬元。“關嶺卓申”擁有關嶺縣小盤江農業光伏電站項目的開發權、所有權和經營權，項目總裝機容量為4萬千瓦，包括光伏場站和35千伏送出線路，已取得《貴州省能源局關於同意關嶺縣小盤江農業光伏電站項目備案的通知》(黔能源審[2019]128號)，並於2019年12月31日實現併網發電。
為獲得目標公司擁有項目的開發、建設、運營、管理權，“青海新能源”和“關嶺隆光”對兩家目標公司進行非同比例增資，增資資金主要用於支付項目工程建設尾款等，具體如下：“關嶺卓陽”此次增資1.39億元，“青海新能源”認購1.387億元，“關嶺隆光”認購30萬元。增資後，“關嶺卓陽”註冊資本為1.46億元，其中“青海新能源”認繳出資1.387億元，佔比95%，“關嶺隆光”認繳出資730萬元，佔比5%。
“關嶺卓申”此次增資2820萬元，“青海新能源”認購2774萬元，“關嶺隆光”認購46萬元。增資後，“關嶺卓申”註冊資本為2920萬元，其中“青海新能源”認繳出資2774萬元，佔比95%，“關嶺隆光”認繳出資146萬元，佔比5%。
