宜華健康(000150.SZ)及全資子公司與相關方簽署清算協議書
格隆匯 10 月 8日丨宜華健康(000150.SZ)公佈，公司於2020年9月29日召開第八屆董事會第三次會議，審議通過《關於公司及全資子公司與相關方簽署<清算協議書>的議案》。
公司、全資子公司達孜賽勒康醫療投資管理有限公司(“達孜賽勒康”)、新疆宜華健康醫療投資管理有限公司(“新疆宜華”)及下屬非營利性醫院南昌大學附屬三三四醫院(“三三四醫院”)及奉新第二中醫院(“奉新二院”)，與相關經營性債權方蕪湖縣大同康宏醫療投資合夥企業、天津信本醫療器械有限公司、天津東港國際醫療器械市場管理股份有限公司、中基寶通(天津)融資租賃有限責任公司、天津榮晟達醫院管理有限公司、蕪湖源美醫療企業管理合夥企業(有限合夥)、馬鞍山啟宏企業管理諮詢有限公司、上海京玖醫療投資管理有限公司、江*女、吳*慶、奚*平簽署《清算協議書》，就分別對公司、新疆宜華、達孜賽勒康及其下屬非營利性醫院所涉債務進行一次性豁免、衝抵清算。
公司、子公司及其下屬醫院將大部分經營性負債歸集打包。用公司存在糾紛及相對低效部分股權，加現金統一清算支付，不足部分豁免。再由眾債權人自行分配。
受新型冠狀病毒肺炎疫情的影響，今年以來，達孜賽勒康旗下醫院的經營均受到不同程度正負面的影響。為穩健公司經營和發展，做大做強公司核心企業，保證公司業績持續增長。進一步做好長期迎戰疫情的準備。
公司通過梳理、整合部分經營性債務、債權，最終與債權相關24方達成一攬子《清算協議書》，通過低效股權權益、支付現金等方式，減免、清償衝抵公司對外債務。將公司回收資金能用於支持核心企業地持續發展。
此次債權、債務清算完成後，涉及償還經營性欠款、或有負債約人民幣16900萬元。預計豁免債務本息2200萬元，同時，清償十二筆經營性負債，解決八宗司法訴訟。公司醫院醫療板塊負債基本全部清償完畢。
