格隆匯 10 月 8日丨*ST金洲(000587.SZ)公佈，公司於2020年9月30日收到中國證券監督管理委員會黑龍江監管局下發的《關於對金洲慈航集團股份有限公司採取出具警示函措施的決定》(監管措施〔2020〕008號)，具體內容如下：
金洲慈航集團股份有限公司：
經查，我局發現你公司(統一社會信用代碼：91230700606346794A)存在以下違規行為。
一、未依法披露關聯交易事項
你公司2019年度與關聯方北京中廣恆通理財顧問有限公司發生資金往來7.66億元，未及時履行信息披露義務，也未在《2019年年度報告》中披露，遲至2020年6月17日才在《關於對深圳證券交易所2019年年報問詢函的回覆公告》(公告編號：2020-66)披露。
二、披露的定期報告不準確
你公司2018年6月將重慶豐悦投資有限責任公司(現名重慶豐悦企業管理諮詢有限責任公司，以下簡稱重慶豐悦)股權全部對外轉讓，但在《2019年半年度報並報表範圍。你公司上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號，以下簡稱《信披辦法》)第二條、第四十八條、《公開發行證券的公司信息披露內容與格式準則第2號——年度報告的內容與格式》(證監會公告〔2017〕17號)第四十條、《公開發行證券的公司信息披露編報規則第15號——財務報告的一般規定》(證監會公告〔2014〕54號)第三十一條、《深圳證券交易所股票上市規則》(2018年11月修訂)第10.1.3條、第10.2.4條規定。
按照《信披辦法》第五十九條規定，現提醒你公司關注上述信息披露問題，並及時採取措施，依法依規履行信息披露義務。
你公司應當在收到本決定書之日起30日內向我局提交書面報告，我局將組織檢查驗收。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
公司及相關責任人收到警示函後，高度重視警示函中指出的問題，公司及相關責任人將充分吸取教訓，切實加強對證券法律法規的學習，提高規範運作意識，堅決遵循上市公司信息披露規範要求；同時公司董事、監事、高級管理人員將認真履行勤勉盡責義務，促使公司規範運作，杜絕上述事項再次發生，不斷提高信息披露質量，維護公司及全體股東利益，促進公司健康、穩定、持續發展。
