兔寶寶(002043.SZ)擬推第一期員工持股計劃 計劃籌資上限為8134.35萬元
格隆匯 10 月 8日丨兔寶寶(002043.SZ)披露第一期員工持股計劃(草案)，員工持股計劃以“份”作為認購單位，每份份額為1元，計劃籌集資金總額上限為8134.35萬元，份額上限為8134.35萬份，以實際繳款金額為準。員工持股計劃的資金來源為員工合法薪酬和通過法律、行政法規允許的其他方式取得的自籌資金，上市公司未以任何方式向持有人提供墊資、擔保、借貸等財務資助。
該員工持股計劃由公司自行管理，將在股東大會審議通過後擇機通過非交易過户及法律法規允許的其他方式受讓公司回購專用賬户中的A股股票。
該員工持股計劃股票來源為公司回購專用賬户回購的兔寶寶A股普通股股票，擬受讓回購股票的價格為每股5.25元(公司回購股份的平均回購價格為7.4987元/股)。此次涉及受讓股票數量不超過1549.4萬股，約佔公司現有股本總額的2.00%。
該員工持股計劃實施後，公司全部有效員工持股計劃所持有的股份總數累計未超過公司股本總額10%，單個員工所持持股計劃份額所對應的股份總數累計未超過公司股本總額的1%。標的股票總數不包括持有人在公司首次公開發行股票上市前獲得的股份、通過二級市場自行購買及通過股權激勵獲得的股份。
員工持股計劃存續期48個月，自股東大會審議通過本員工持股計劃並且公司公告最後一筆標的股票過户至本員工持股計劃名下之日起計算。該員工持股計劃所獲標的股票分三期解鎖，各年度具體解鎖比例和數量依據上一年度公司業績目標及持有人績效考核結果計算確定：
注：1、上述“淨利潤”指標指經審計的歸屬於上市公司股東的扣除非經常性損益的淨利潤；
2、該員工持股計劃業績考核期間，計算淨利潤時剔除本次及其它員工持股計劃和股權激勵計劃產生的股份支付費用影響的數值作為計算依據；
3、該員工持股計劃業績考核期間，若發生商譽減值，計算淨利潤時剔除商譽減值影響。
