華凱創意(300592.SZ)收到深交所中止審核通知
格隆匯 10 月 8日丨華凱創意(300592.SZ)公佈，公司擬向南平延平芒勵多股權投資合夥企業(有限合夥)等九名深圳市易佰網絡科技有限公司(“易佰網絡”)的股東以發行股份及支付現金的方式購買易佰網絡90%股權並募集配套資金。
2020年9月30日，公司收到深圳證券交易所出具的《關於受理湖南華凱文化創意股份有限公司發行股份購買資產並募集配套資金申請文件的通知》(深證上審〔2020〕605號)。
2020年10月1日，公司收到深圳證券交易所的中止審核通知：“2020年10月1日，湖南華凱文化創意股份有限公司因重大資產重組申請文件中記載的財務資料已過有效期需要補充提交，本所中止其發行上市審核”。
根據《公開發行證券的公司信息披露內容與格式準則第26號——上市公司重大資產重組》(“《準則第26號》”(第六十三條規定：“經審計的最近一期財務資料在財務報告截止日後六個月內有效，特別情況下可申請適當延長，但延長時間至多不超過一個月。”根據《中國人民銀行、財政部、銀保監會、證監會、外匯局關於進一步強化金融支持防控新型冠狀病毒感染肺炎疫情的通知》(銀髮〔2020〕29號，“通知”)之相關規定：“(二十一)適當放寬資本市場相關業務辦理時限。適當延長上市公司併購重組行政許可財務資料有效期和重組預案披露後發佈召開股東大會通知的時限。如因受疫情影響確實不能按期2更新財務資料或發出股東大會通知的，公司可在充分披露疫情對本次重組的具體影響後，申請財務資料有效期延長或股東大會通知時間延期1個月，最多可申請延期3次......”。
本次交易標的公司經審計的財務數據基準日為2020年3月31日，財務數據有效期截止日為2020年9月30日。受新型冠狀病毒肺炎疫情及相關防控工作影響，本次重組加期審計與核查工作在2020年9月30日前尚未完成。根據《準則第26號》和《通知》的相關規定，公司擬向深圳證券交易所申請本次交易的審計報告財務資料有效期延長1個月，即有效期截止日由2020年9月30日申請延期至2020年10月31日，並向深圳證券交易所申請恢復發行股份及支付現金購買資產並募集配套資金申請文件審核。具體詳見公司於2020年10月8日晚間披露的《關於發行股份及支付現金購買資產並募集配套資金項目相關財務數據有效期延期的公告》。
待深圳證券交易所同意公司延長財務數據有效期和恢復審核的申請後，公司將盡力與各中介機構落實相關工作，積極推進本次重組有序進行。公司將根據相關事項進展情況及時履行信息披露義務，敬請廣大投資者關注公司後續相關公告並注意投資風險。
