中國石化(600028.SH)：與國家管網集團簽署《鋪底油出售協議》 77億元出售約127萬噸鋪底油
格隆匯 9 月 30日丨中國石化(600028.SH)宣佈，公司及子公司擬將其持有的相關公司股權、油氣管道及配套設施等資產轉讓給國家管網集團，以國家管網集團增發的股權和/或支付的現金作為交易對價。
根據銷售公司與國家管網集團於2020年7月23日簽署的《關於支付現金購買資產的協議》，對於國家管網集團擬向銷售公司購買的鋪底油事項(包括資產量及價格等)，另行簽訂相關協議進行約定。2020年9月30日，銷售公司與國家管網集團簽署了《與油氣管道資產交易相關的鋪底油出售協議》(簡稱“《鋪底油出售協議》”)，主要內容如下：
1、鋪底油的出售與交付
銷售公司同意將標的資產成品油管道內管存油以及儲罐內的鋪底成品油(簡稱“鋪底油”)按照約定出售給國家管網集團。
鋪底油的所有權、義務、責任和風險於《關於支付現金購買資產的協議》約定的交割日24時起，從銷售公司轉移至國家管網集團。
交割日的發生即表明銷售公司已經完成《鋪底油出售協議》項下鋪底油的交付義務。銷售公司與國家管網集團根據《鋪底油出售協議》的約定對鋪底油的數量和總價進行確認。
2、鋪底油的計量交接
以交割日當日早8時作為鋪底油庫存盤點時點，銷售公司與國家管網集團對鋪底油進行盤庫，涉及的鋪底油預計約為127萬噸。最終交接的鋪底油產品品質及數量需要經過銷售公司和國家管網集團共同確定的審計機構審定確認。
3、鋪底油單價
銷售公司與國家管網集團同意，分別按照以下公式確定和計算成品油的單價：
成品油單價=(評估基準日成品油單價標準+交割日成品油單價標準)/2(單位：人民幣元/噸)成品油單價標準(區分汽油及柴油品號)：汽、柴油分別按照國家發展和改革委員會發佈的30個省市和中心城市汽、柴油標準品最高零售價格的平均價格，乘以汽、柴油品質比率，每噸扣減500元確定。成品油單價標準為含税價格。不含税價格=含税價÷1.13。
4、鋪底油總價及交付
鋪底油總價將按照鋪底油數量及單價計算，鋪底油總價預計約為人民幣77億元(不含税)。審計確認日後的5日內，銷售公司、國家管網集團應就不同種類和地區的標的資產內鋪底油的總價進行確認並簽署鋪底油分項價款確認函。根據所有鋪底油分項價款確認函確定的金額，國家管網集團應於2020年10月31日前向銷售公司指定的銀行賬户一次性支付鋪底油總價。
5、成立及生效
《鋪底油出售協議》自銷售公司與國家管網集團簽字並蓋章之日起成立並生效。
