中聯重科(000157.SZ)A股定增方案調整：募資額由不超66億元調至不超56億元
格隆匯 9 月 29日丨中聯重科(000157.SZ)公佈，公司非公開發行A股股票原方案已經公司第六屆董事會2020年度第三次臨時會議、2020年度第二次臨時股東大會審議通過。公司於2020年9月29日召開第六屆董事會2020年度第五次臨時會議，審議通過了公司調整非公開發行股票方案相關事項。此次非公開發行股票方案進行的修訂事項尚需公司股東大會審議通過和中國證監會核准。
其中，發行對象和認購方式方面，調整前：此次發行的對象為馬鞍山懷瑾基石股權投資合夥企業(有限合夥)(“懷瑾基石”)、太平人壽保險有限公司(“太平人壽”)、海南誠一盛企業管理合夥企業(有限合夥)(“海南誠一盛”)和寧波實拓企業管理有限公司(“寧波實拓”)。所有發行對象將以現金方式認購公司此次非公開發行的股份。
調整後：此次非公開發行的對象為不超過35名特定投資者，包括符合中國證監會規定條件的證券投資基金管理公司、證券公司、信託公司、財務公司、保險機構投資者、合格境外機構投資者、人民幣合格境外機構投資者以及其他符合相關法律、法規規定條件的法人、自然人或其他機構投資者。證券投資基金管理公司、證券公司、合格境外機構投資者、人民幣合格境外機構投資者以其管理的二隻以上產品認購的，視為一個發行對象；信託公司作為發行對象，只能以自有資金認購。
最終具體發行對象將在本次非公開發行獲得中國證監會核准批覆後，由公司股東大會授權董事會及其授權人士按照相關規定並根據發行詢價結果，與本次非公開發行的保薦機構及主承銷商協商確定。
所有發行對象均以人民幣現金方式認購本次非公開發行的股票。
募集資金用途方面，調整前：此次非公開發行股票募集資金總額不超過人民幣66億元(含本數)，扣除相關發行費用後的募集資金淨額擬用於以下項目：
