*ST大洲(000571.SZ)：擬受讓山東國惠所持能源科技公司50%股權 轉讓完成後將持其100%股權
格隆匯 9 月 29日丨*ST大洲(000571.SZ)公佈，內蒙古新大洲能源科技有限公司(以下簡稱“能源科技公司”)為公司全資子公司上海新大洲投資有限公司(以下簡稱“新大洲投資”)的參股公司。新大洲投資與山東國惠資產管理有限公司(以下簡稱“山東國惠”)各持有能源科技公司50%股權。鑑於山東國惠通過山東產權交易中心公開掛牌出售能源科技公司50%股權，新大洲投資參與競拍之事實，因只徵集到新大洲投資一家受讓方，轉讓方決定以協議轉讓方式實施轉讓。2020年9月27日，轉讓方山東國惠與受讓方新大洲投資在山東產權交易中心鑑證下籤署了《產權交易合同》，山東國惠將持有的能源科技公司50%國有股權有償轉讓給新大洲投資，轉讓價格為人民幣548.46萬元。同日，山東國惠、新大洲投資、新大洲控股、能源科技公司簽署了《產權交易合同之補充協議》，山東國惠與新大洲投資簽署了《股權質押合同》，對交易價款的支付及保證條件進行了約定。新大洲投資將在《產權交易合同》項下股權轉讓涉及的工商變更登記之前向山東產權交易中心繳納股權轉讓款人民幣200萬元整，剩餘轉讓價款人民幣348.46萬元應當在《產權交易合同之補充協議書》簽訂之日起一年內支付完畢。新大洲投資以現持有的能源科技公司50%股權及其派生的權益為其應付的剩餘轉讓價款提供股權質押擔保，同時新大洲投資、能源科技公司為上述新大洲投資應付的剩餘轉讓價款提供連帶責任保證擔保。新大洲投資自上述《產權交易合同之補充協議》簽訂之日起，按照4.35%/年的利率標準向山東國惠支付分期付款產生的利息，直至該轉讓價款及利息全部付清。能源科技同時承諾：公司資產的處置收益優先向山東國惠支付剩餘轉讓價款分期付款產生的利息(年利率為4.35%)。
上述收購股權事項無需公司董事會審議。
本公司的全資子公司新大洲投資本次受讓股權的目的是為便於統籌安排出售能源科技公司的資產，償還對本公司的欠款。上述轉讓完成後，新大洲投資將持有能源科技公司100%股權，本公司原向能源科技公司提供的財務資助性質由向參股公司提供的財務資助變更為向全資子公司提供的借款，截至本公告披露日，借款的本金及利息之和為人民幣65959218.21元。
