太龍照明(300650.SZ)：收購博思達資產組100%股權完成交割
格隆匯 9 月 29日丨太龍照明(300650.SZ)公佈，公司於2020年5月22日的第三屆董事會第十三次會議及2020年6月22日召開的2020年第一次臨時股東大會，審議通過了重大資產購買相關議案，公司擬以支付現金方式收購全芯科電子技術(深圳)有限公司(以下簡稱“全芯科”)、UpkeenGlobalInvestmentsLimited(以下簡稱“UpkeenGlobal”)和FastAchieveVenturesLimited(以下簡稱“FastAchieve”)的100%股權，交易標的持有的主要資產為博思達科技(香港)有限公司和芯星電子(香港)有限公司的100%股權(交易標的及其控制的子公司合稱“博思達資產組”)。
截至本公告披露日，公司已經按照本次交易相關協議的約定，全額支付了本次交易的第一期股權轉讓價款，摺合人民幣27,102.55萬元(含税)。根據本次交易相關協議的約定，公司將在業績承諾期2020年度-2022年度中每個年度的專項審計報告出具後30日內，分別支付第二期、第三期和第四期股權轉讓價款。若博思達資產組2020年度-2022年度扣除非經常性損益後實現的合併淨利潤分別不低於6,500萬港元、7,800萬港元和9,200萬港元(均含本數)，則公司需相應支付股權轉讓價款人民幣18,750萬元、15,000萬元、15,000萬元。
截至本公告披露日，交易各方完成了本次交易協議中約定的交割程序，且公司取得了：(1)標的公司全芯科的100%股權；(2)標的公司UpkeenGlobal全部發行在外的50,000股股份；(3)標的公司FastAchieve全部發行在外的50,000股股份。因此，公司間接控制了博思達科技(香港)有限公司和芯星電子(香港)有限公司的100%股權，實現了對博思達資產組的控制。
