津濱發展(000897.SZ)：泰達建設集團擬實施混改 引入2家戰略投資者
格隆匯 9 月 28日丨津濱發展(000897.SZ)公佈，公司於2020年9月28日收到公司控股股東天津泰達建設集團有限公司(“泰達建設集團”)《天津泰達建設集團有限公司關於實施混合所有制改革進展情況的通知》。通知主要內容如下
“泰達建設集團將以增資擴股和股權轉讓相結合的方式實施混合所有制改革，引入2家戰略投資者，將泰達建設集團整體改製為國有資本參股的混合所有制企業。混改完成後，泰達控股持有泰達建設集團的股份比例由原先的100%變更為30%。新引入的戰略投資者天津津聯海勝混改股權投資基金合夥企業(有限合夥)持股比例為40%；天津中科泰富投資合夥企業(有限合夥)持股比例為30%(對引入的2 家戰略投資者明確要求不得為一致行動人)。交易各方已簽訂《合資合作協議》等交易協議。根據《上市公司國有股權監督管理辦法》，該事項須獲得國有資產監督管理機構審核批准，後續將由產權交易機構出具交易憑證。
2020年9月28日，泰達建設集團已收到泰達控股轉發的《市國資委關於天津泰達建設集團有限公司所持上市公司股份間接轉讓有關事項的批覆》(津國資產權[2020]37號)，就泰達建設此次混合所有制改革涉及的泰達建設所持上市公司天津津濱發展股份有限公司(以下簡稱津濱發展)股份間接轉讓有關事項進行了批覆。
批覆文件主要內容為：“泰達建設本次混合所有制改革完成後，泰達建設不再符合國有股東界定條件，國資委同意取消其證券賬户標註的“SS”標識；在未取消其證券賬户標註的“SS”標識前，仍嚴格執行《上市公司國有股權監督管理辦法》（國資委財政部證監會令第36號，以下簡稱36號令）及相關國有股權管理的規定。相關單位持此批覆及泰達建設產權轉讓、增資擴股全部款項的支付憑證，依照規定程序到證券登記結算公司等部門辦理有關手續。”
由於泰達建設集團本次混合所有制改革轉讓價款及增資款繳付採取分期付款方式，最終繳付尚未完畢。根據混改各方簽署的有關協議，對股權轉讓分期付款違約責任約定如下：
如混改投資人在支付首期產權轉讓款後未按約定足額支付其餘產權轉讓款及其相應利息的，泰達控股有權要求投資人配合泰達控股將其應付未付部分產權轉讓款對應的轉讓標的重新變更登記至泰達控股名下。
有關協議同時對增資分期付款違約責任約定如下：
投資人未按照約定時間足額支付其餘增資款的逾期超過15個工作日仍未履行足額給付義務的，泰達建設有權選擇單方解除協議而無需承擔任何違約賠償責任。同時，投資人應於協議解除之日起15個工作日內積極協助、配合泰達建設辦理減資手續，就投資人持有實際投資總額對應的全部出資進行減資。
截至當前，投資人的首期資金已繳納完畢。
