建發國際集團(01908.HK)擬約47億元收購成都上海三幅地塊 進一步擴大土地儲備規模
格隆匯9月28日丨建發國際集團(01908.HK)發佈公告,於2020年9月28日,公司全資附屬益悦及全資附屬公司廈門兆翊蓉訂立以下協議:成都兆欣麟股權轉讓協議,據此,建發成都同意出售而益悦及廈門兆翊蓉同意分別收購成都兆欣麟的95%及5%股權,總現金代價將為人民幣5000萬元。益悦及廈門兆翊蓉亦將根據益悦及廈門兆翊蓉各自將持有成都兆欣麟的股權比例,償還建發成都先前向成都兆欣麟墊付的股東貸款人民幣9.59億元。
同日,公司訂立廈門匯瓏股權轉讓協議,據此,建發房產同意出售而益悦同意收購廈門匯瓏的95%股權;及廈門利源同意出售而廈門兆翊蓉同意收購廈門匯瓏的5%股權。廈門匯瓏股權轉讓協議的總現金代價將為零元。益悦及廈門兆翊蓉將根據益悦及廈門兆翊蓉各自將持有廈門匯瓏的股權比例,償還建發房產先前向廈門匯瓏墊付的股東貸款人民幣25.88億元。
此外,公司訂立廈門景呈瓏股權轉讓協議,據此,建發房產同意出售而益悦同意收購廈門景呈瓏的95%股權;及廈門利源同意出售而廈門兆翊蓉同意收購廈門景呈瓏的5%股權。廈門景呈瓏股權轉讓協議的總現金代價將為零元。益悦及廈門兆翊蓉將根據益悦及廈門兆翊蓉各自將持有廈門景呈瓏的股權比例,償還建發房產先前向廈門景呈瓏墊付的股東貸款人民幣11.5億元。
成都兆欣麟、廈門匯瓏及廈門景呈瓏分別持有成都土地、上海土地一及上海土地二。成都土地指位於中國四川省成都錦江區三聖鄉花果村沙河堡南3A及3B地塊,佔地面積約87,262平方米,預計計容建築面積不超過約236,454平方米的住宅用地。
上海土地一指位於中國上海寶山區11008街道0012街坊P1宗地,佔地面積約57,954.7平方米,預計計容建築面積不超過約115,909.4平方米的住宅用地。
此外,上海土地二指位於中國上海閔行區浦江鎮903街坊P1宗地,佔地面積約32,380.8平方米,預計計容建築面積不超過約64,761.6平方米的住宅用地。
公司表示,監於成都土地、上海土地一及上海土地二各自的周邊配套齊全,地段良好,具備較大開發潛力;及收購成都土地、上海土地一及上海土地二可進一步擴大集團土地儲備規模,提升集團在中國市場的品牌影響力,董事認為,訂立該等股權轉讓協議將有利於公司拓展房地產開發主營業務,而該等股權轉讓協議的條款屬公平合理,並符合公司及股東整體利益。
