紫光國微(002049.SZ)：決定將在紫光聯合體中的權利和義務轉讓給紫光集團
格隆匯 9 月 28日丨紫光國微(002049.SZ)公佈，公司第六屆董事會第三十五次會議和2019年第二次臨時股東大會審議通過了《關於與關聯方聯合投標土地暨關聯交易的議案》，同意公司與紫光集團有限公司(“紫光集團”)、紫光股份有限公司(“紫光股份”)及北京紫光科技服務集團有限公司(“科服集團”)組成聯合體(“紫光聯合體”)，利用自有資金投標“北京市海淀區學院路北端A、B、C、J地塊B4綜合性商業金融服務業用地、B23研發設計用地”(“目標地塊”)國有建設用地使用權，同時，授權公司董事長在投標成功後具體辦理相關手續及簽署相關文件，並按照相關法律、法規、規範性文件的規定，全權決定及辦理與此次交易有關的一切事宜。紫光聯合體按相關規定進行上述目標地塊的投標，並於2019年12月2日取得《中標通知書》，以總價人民幣66.09億元中標上述目標地塊的國有建設用地使用權。
2019年12月2日，紫光聯合體四方與北京市土地整理儲備中心海淀區分中心簽署《海淀區學院路北端A、B、C、J地塊B4綜合性商業金融服務業用地、B23研發設計用地土地開發建設補償協議》。
2019年12月17日，紫光聯合體四方共同與北京市規劃和自然資源委員會簽訂了《國有建設用地使用權出讓合同》及相應附件。
2019年12月24日，紫光聯合體共同出資設立了項目公司北京紫光智城科創科技發展有限公司（以下簡稱“紫光智城”、“項目公司”），負責目標地塊的開發、建設及運營。註冊資本5億元。紫光集團、紫光股份、公司和科服集團在項目公司中的出資比例分別為71%、19%、5%和5%。
為推進目標地塊的開發建設，經公司第六屆董事會第四十二次會議及公司2020年第二次臨時股東大會審議同意，紫光聯合體各方共同簽署《出讓合同》之《補充協議》和《連帶擔保責任函》，對紫光智城履行《出讓合同》的行為承擔連帶擔保責任，擔保金額不超過人民幣13.50億元。
鑑於新冠疫情對經濟影響的不確定性風險，為聚焦核心業務，公司經審慎研究，並經與紫光聯合體各方協商一致，決定將公司在紫光聯合體中的權利和義務轉讓給紫光集團，公司退出聯合體。公司與紫光集團、紫光股份、科服集團就此事項簽署了相關協議。
